Financial Year 2025-26
Dear Sir/Madam,
We wish to inform you that the 32" Annual General Meeting (“AGM”) of the Companwiyll be held on Monday,
September 28, 2026, at 11:00 a.m. (IST) through Video Conferencing/Other Audio-Visual Means (“VC/OAVM”)
in accordance with the applicable circulars issued by the Ministry of Corporate Affairs and Securities and
Exchange Board of India.
pursuant to Regulation 34(1) of Securities and Exchange Board of India (Listing Obligations and Disclosure
Requirements) Regulations, 2015 (“Listing Regulations”), we are submitting herewith the Integrated Annual
Report of the Company along with the Notice of the 327 AGM for the Financial Year 2025-26, which is being
sent only through electronic mode to the Shareholders.
Pursuant to Section 91 of the Companies Act, 2013 and Regulation 42 of the SEBI (LODR) Regulations, 2015,
the Company has fixed Friday, September 18, 2026 as the Record Date for determining the eligibility of
Members entitled to receive the final dividend for the financial year ended March 31, 2026, if approved at the
upcoming AGM. Pursuant to the SEBI (LODR) (Fifth Amendment) Regulations, 2025, physical dividend warrants
have been completely discontinued. Dividends will be paid exclusively via electronic modes (NEFT/RTGS/ECS).
Shareholders holding shares in physical form must urgently update their bank details (including IFSC and MICR)
with Bigshare Services Private Limited by submitting Form ISR-1. Shareholders holding shares in electronic
form must ensure these updates are done with their respective Depository Participants (DP) before the Record
Date to avoid withholding or delays in credit. All communications or queries may be sent to
shareholders@ecorco.com or investor@bigshareonline.com.
As recommended by Board of Directors of Company in its meeting held on August 10, 2026 subject to approval
of Shareholder at ensuing AGM the Final Dividend of Rs 1/- per equity share of Rs 10/- each (10.00%), if
declared at the Meeting, will be credited subject to deduction of income-tax at source wherever applicable to
those members whose names shall appear on the Company’s Register of Members on Record date i.e. Friday,
September 18, 2026.
We would further like to inform that the Company has fixed Monday, September 21, 2026 as the cut-off date
for the purpose of remote e-voting, (“Remote e-voting”) for ascertaining the names of the Shareholders
holding shares either in physical form or in dematerialized form, who will be entitled to cast their votes
electronically in respect of the businesses to be transacted at the AGM.
