The 1oth Annual General Meeting ("AGM") of Honasa Consumer Limited ("Company'') is scheduled to be held on Monday, September 28, 2026 at 4:00 pm (1ST) through Video Conference ("VC") / Other Audio-Visual Means ("OAVM"), to transact the businesses as set forth in the notice of 10th AGM ("Notice"). 2. Ministry of Corporate Affairs ("MCA"), vide its circulars nos. 14/2020 dated April 8, 2020, 17/2020 dated April 13, 2020 and subsequent circulars issued in this regard latest being 03/2025 dated September 22, 2025 (hereinafter collectively referred to as "MCA Circulars"), has permitted companies to conduct AGM through VC/OAVM. In accordance with MCA Circulars and relevant provisions of the Companies Act, 2013 ("Act"), 10th AGM of the Company will be held without the physical presence of members at a common venue. Accordingly, members will be able to attend and participate in 10th AGM through VC/OAVM only. 3. Pursuant to the MCA Circulars and the Circulars issued from time to time by Securities and Exchange Board of India ("SEBI"), Notice and Annual Report for the financial year 2025-26 ("FY 2025-26") will be sent electronically to those members whose email addresses are registered with the Company/KFin Technologies Limited, Company's Registrar & Share Transfer Agent ("KFin")/Depositories. A letter providing the web-link, including the exact path, where the Annual Report for FY 2025-26 and Notice is available, will be sent to those members whose e-mail address is not registered with the Company/KFin/Depositories. 4. Notice and Annual Report for FY 2025-26 will also be available on the Company's website at www.honasa.in, on the website of the Stock Exchanges where the equity shares of the Company are listed, i.e., National Stock Exchange of India Limited at www.nselndla.com, BSE Limited at www.bseindia.com and on the a-voting website of CDSL at www.evotingindia.com. 5. Members desiring a physical copy of Notice and Annual Report FY 2025-26 may request 1he same by writing to Email Id - compliance@honasa.in, mentioning their DP ID & Client ID. 6. The instructions for joining and manner of participation in the 10th AGM will be provided in the Notice. Members attending the 10th AGM through VC/OAVM shall be counted for the purpose of reckoning the quorum under section 103 of the Act. 7. Members are requested to register/update their e-mail address and other KYC details as per process advised by respective Depository Participants ("DP"s). 8. The Company will provide a remote electronic voting facility ("remote E-voting") to enable members to vote on the resolutions proposed in the Notice. Additionally, members will be able to vote electronically during the AGM ("E-voting"). Detailed instructions for remote E-voting and E-voting during the AGM by members holding shares in dematerialised mode and for members who have not registered their email address will be provided in the Notice. 9. Only members attending 10th AGM and who have not cast vote(s) through remote E-voting will be eligible to vote during 10th AGM. 10. The Board of Directors have recommended a final dividend of INR 3/-per equity share (i.e. 30%) on the face value of INR 10/-for FY 2025-26. Upon declaration at the AGM, the dividend will be paid to those members whose names appear in the Register of Members or in the list of beneficial positions furnished by the Depositories, as at the close of business hours on Friday, August 28, 2026 i.e. Record Date. 12. Members, who have not updated/registered their bank account details, are requested to register/update the same with their relevant DPs to receive direct credit of dividends into their bank accounts through electronic mode. 13. Members may note that as per the Income Tax Act, 2025, dividends paid or distributed by the Company is taxable in the hands of the recipient. Therefore, the Company shall be required to deduct tax at source at the time of payment of the final dividend. The rate of tax to be deducted depends on the residential status of the members, and 1he documents submitted by the members and accepted by the Company.
