MESSAGE FROM
THE CHAIRMAN
“Infrastructure is the backbone of national growth. By
combining engineering excellence with sustainable water and
energy solutions, Om Infra is executing high-impact projects
that empower communities and secure a resilient future.”
— Dharam Prakash Kothari
(Chairman )
Dear Shareholders,
It is my privilege to present to you the Annual Report 2025-26 of Om Infra Limited for
the financial year ended March 31, 2026.
As I reflect upon the financial year 2025–26, I am filled with pride in our Company’s
structural resilience and unwavering commitment to engineering excellence. Amidst
global economic realignments, India’s macro-economy has demonstrated sustained
momentum, driven by the Central Government’s massive infrastructure push with a
national outlay scaling to ₹12.2 lakh crore. Positioned at the intersection of water
infrastructure, heavy hydro-mechanical engineering, and urban real estate, Om Infra
remains a direct beneficiary of this upcycle.
Financial & Operational Performance
During FY 2025-26, our operational strategy focused on margin protection, capital
preservation, and structural risk mitigation.
• Standalone Financials: Standalone Revenue from Operations reached
₹46,842.38 Lacs, with Profit Before Tax (PBT) at ₹2,340.57 Lacs and Net Profit
After Tax (PAT) at ₹2,180.48 Lacs.
• Consolidated Financials: On a consolidated level, your Company recorded
Revenue from Operations of ₹50,005.60 Lacs. Consolidated EBITDA stood at
₹4,612.00 Lacs, PBT at ₹2,213.47 Lacs, and PAT at ₹2,055.93 Lacs.
• Dividend: In line with our continuous track record of rewarding shareholders, the
Board of Directors has recommended an equity dividend of ₹0.50 per equity
share (50%) of face value ₹1 each for FY26.
Segmental Milestones & Strategic Progress
1. Engineering & Infrastructure (EPC) Our core strength lies in delivering complex,
high-entry-barrier civil and hydro-mechanical solutions. As of March 31, 2026, our
unexecuted order book stands at a robust ₹2,107 Crores—comprising ₹1,351 Crores
from the Jal Jeevan Mission (JJM) and ₹756 Crores from dam hydro-mechanical
components—providing strong multi-year revenue visibility.
A major crowning victory this year was achieved at the Isarda Dam Project (Value:
₹615.17 Cr), where water impounding successfully commenced on July 30, 2025,
transforming water security for over 3 crore people across 13 districts in eastern
Rajasthan. Furthermore, we expanded our pipeline with new municipal wins, including
a ₹129 Crore order from UP Jal Nigam (Urban) for SCADA-automated water
infrastructure.
2. Real Estate Division We continue to systematically monetize our high-potential land
assets:
• Pallacia (Jaipur): Our ultra-luxury residential project has recognized cumulative
revenue of ₹275 Crores, with ₹290 Crores in remaining realizable value.
• Om Green Meadows (Kota): Recorded revenue of ₹63 Crores to date, with ₹24
Crores expected from future inflows.
• Bandra SRA Project (Mumbai): All long-standing land clearances and disputes
are fully resolved. Our partner, Valor Estate Ltd, has commenced site survey
layout planning, advancing this project on an asset-light model without further
capital calls from Om Infra.
3. Non-Core Asset Monetization & Arbitrations We are actively pursuing non-dilutive
liquidity recoveries. These include a favorable ₹587 Crore arbitration award (Jaipur-
Bhilwara Toll Road) currently under procedural finalization in the Rajasthan High Court,
and a ₹53 Crore award (Gurha Thermal Power) pending resolution in the Supreme
Court. We anticipate over ₹700+ Crores in cash realizations from non-core assets and
arbitrations over the next 2–3 years.
Future Outlook & FY27 Guidance
With the Government extending key initiatives like JJM 2.0 till 2028 and allocating over
₹84,000+ Crore to the national water sector, Om Infra is on the cusp of significant
growth. Our balance sheet remains rock-solid with a consolidated net worth of ₹808
Crores and a net debt-to-equity ratio of just 0.03x.
Looking ahead to FY 2026-27, management provides the following guidance:
• Revenue Guidance: ₹700 – ₹750 Crores
• EBITDA Margin Guidance: 7% – 8%
• Expected Fresh Order Inflows: ₹1,500 Crores, targeting hydro-mechanical,
pumped storage, STP, and water infrastructure projects.
Words of Gratitude
On behalf of the Board, I extend my heartfelt gratitude to our shareholders, esteemed
clients, financial institutions, government authorities, and business partners for their
unyielding trust. I also commend the dedication, hard work, and resilience of the entire
Om Infra family.
Together, we are well-prepared to build a sustainable, engineering-led future for India.
Thank you.
