Further to the intimation dated 13 June 2026 in relation to the approval of the board of directors of the Company (“Board”) for the issuance and allotment of 77,02,182 (seventy-seven lakh two thousand one hundred and eighty-two) warrants on a preferential basis by the Company to Dr. Abhinay Bollineni (Promoter), Mr. Adwik Bollineni (Promoter) and Bharas Ventures LLP (a Promoter Group entity) (“Allottees”) (“Preferential Issue”), the intimation dated 11 July 2026 in relation to the details of the voting results of the extraordinary general meeting of the Company held on 9 July 2026 (wherein the shareholders of the Company approved the Preferential Issue with requisite majority) and the in-principle approval in relation to the Preferential Issue provided respectively by the BSE Limited (by way of their letter bearing reference number LOD/PREF/KS/FIP/633/2026-27) and the National Stock Exchange of India Limited (by way of their letter bearing reference number NSE/LIST/55834), we hereby inform that the Company has received in aggregate Rs. 1,499,999,944.50 (Rupees One hundred forty-nine crore ninety-nine lakh ninety-nine thousand nine hundred forty-four rupees and fifty paise) from the Allottees for the warrant subscription, which is equivalent to 25% of the issue price of the said Warrants. Similarly, Bharas Ventures LLP prior to the completion of the Preferential Issue is a part of the Promoter Group of the Company and will continue to remain part of the Promoter Group of the Company post the completion of the Preferential Issue. * Given the Proposed Allotees form part of the promoter and promoter group of the Company, we have disclosed the pre- preferential issue shareholding and % for the promoter and promoter group of the Company, as publicly available, basis the quarterly shareholding pattern for the quarter ended 30 June 2026. & Given the Allotees form part of the promoter and promoter group of the Company, we have disclosed the post-preferential issue shareholding and % for the promoter and promoter group of the Company, after having assumed that all Warrants, at a conversion ratio of 1:1, will be converted into equity shares by the Allottees within the timelines prescribed under the SEBI ICDR Regulations..
