Requirements) Regulations, 2015 – Cassation Court, Dubai, UAE Judgment dated July 29, 2026.
Dear Sir / Madam,
This is in continuation of the Company’s prior disclosure dated February 17, 2026 under Regulation
30 of the Listing Regulations, regarding update on the ongoing litigation between Honasa Consumer
Limited (“Company”) and RSM General Trading LLC (“RSM”) in the Dubai Courts. We hereby inform
that the Cassation Court, Dubai, UAE (“Cassation Court”) has passed a judgment on July 29, 2026
(“Cassation Court Judgement”), translated copy of which was received by the Company on August
07, 2026 at 16:35 pm (IST).
Vide the said Judgment, the Cassation Court has dismissed the Appeals filed by both Parties. The
Cassation Court has upheld the judgment issued by the Court of Appeals on February 11, 2026, vide
which, it awarded an amount of AED 1,707,407.06 (INR 4,43,12,369/-) to RSM as compensation for
material and moral damages. We find it imperative to mention here that RSM in its appeal had
sought damages to the tune of AED 45,000,000, which has categorically been rejected by the
Cassation Court.
We also find it imperative to clarify here that the Arbitral Tribunal as appointed by the Hon’ble
Supreme Court of India (“Indian Arbitral Tribunal”), passed an Arbitral Award dated May 14, 2025
as amended by Section 33 Order dated June 26, 2026 (“Arbitral Award”) in favour of the Company.
The Arbitral Award declared that (i) RSM is permanently injuncted from initiating/continuing any
proceedings against the Company before the Dubai Courts, and (ii) RSM shall pay to the Company
damages aggregating to any amount sought to be recovered from the Company pursuant to the
decision of any Dubai Court in proceedings related to the termination of the Agreement, including
but not limited to the judgment dated 11.02.2026 in the Dubai proceedings, or any appellate or
revisional order arising therefrom. In view of the above reliefs granted by the Arbitral Tribunal
vide the Arbitral Award, the Company expects no financial impact.
Further, under the governing provisions of the Civil Procedure Code, 1908, the Cassation Court
Judgment may not be conclusive and binding upon the Company as the governing law of the
Agreement between the Parties is Indian law and the disputes between the Parties are subject to
arbitration or exclusive jurisdiction of New Delhi courts.

Particulars Details
The details of any change in the status Pursuant to the judgment passed by the Court of Appeal, Dubai,
and/or any development in relation to UAE, on February 11, 2026 wherein the Court of Appeal passed a

The Cassation Court has now issued its judgment rejecting both
the Appeals and upholding the judgment issued by Court of
Appeal on February 11, 2026 which awards a sum of AED
1,707,407.06 to RSM for material and moral damages.
It is imperative to clarify here that the Arbitral Tribunal seated in
India as appointed by the Hon’ble Supreme Court of India
(“Indian Arbitral Tribunal”), in the arbitration proceedings
between the Company and RSM, passed an Arbitral Award dated
May 14, 2025 as amended by Section 33 Order dated June 26,
2026 (“Arbitral Award”) in favour of the Company declaring that
(i) RSM is permanently injuncted from initiating/continuing any
proceedings against the Company in relation to the Agreement
before the Dubai Courts, and (ii) RSM shall pay to the Company
damages aggregating to any amount sought to be recovered from
the Company pursuant to the decision of any Dubai Court in
proceedings related to the termination of the ADA, including but
not limited to the judgment dated 11.02.2026 in the Dubai
proceedings, or any appellate or revisional order arising
therefrom. The Company expects that no financial impact may
arise due to the reliefs granted under the Arbitral Award.
