The Resolution Professional welcomed the members of the Committee of Creditors who had joined the eleventh meeting of the CoC in the Corporate Insolvency Resolution Process of K-Lifestyle & Industries Limited. Thereafter, the RP took up the matters for discussions as per the agenda contained in the Notice. Item No: 2 ROLL CALL AS PER REGULATION 24 (2) OF THE INSOLVENCY AND BANKRUPTCY BOARD OF INDIA (INSOLVENCY RESOLUTION FOR CORPORATE PERSONS) REGULATIONS, 2016 As per the provisions contained in Regulation 24 (2) of the Insolvency and Bankruptcy Board of India (Insolvency Resolution for Corporate Persons) Regulations, 2016, at the commencement of a meeting, the Resolution Professional shall take a roll call when every participant attending through video conferencing or other audio and visual means shall state, for the record, the particulars of identity stated in clauses (a) to (f) stated in the sub-regulation 2 of Regulation 24. The Resolution Professional took the roll call wherein the members confirmed the receipt of the Notice and the agenda of the meeting. The members of the committee of creditors took note of the same. Unauthorized Participation in the CoC Meeting by an Impersonator: The RP apprised the members of the CoC of a serious incident concerning the unauthorized participation of an individual in the CoC meetings while falsely representing himself as Mr. Jaiprakash Mishra, purportedly attending on behalf of the SBoD. The RP informed the members that, in compliance with Section 24 of the Insolvency and Bankruptcy Code, 2016, Section 2(l) of the relevant regulations defining a "participant," and Regulation 23(3) of the Insolvency Resolution Process for Corporate Persons Regulations, 2016, the RP is under a statutory obligation to ensure the identity of participants attending CoC meetings through video MINUTES OF ELEVENTH MEETING OF COMMITTEE OF CREDITORS OF K-LIFESTYLE & INDUSTRIES LIMITED conferencing and to prevent access by any unauthorized person. During the roll call conducted at the commencement of the meeting, the individual identifying himself as Mr. Jaiprakash Mishra joined the meeting. The RP requested the said individual to switch on his camera for identity verification. The RP further informed the members that the same individual had similarly attended the previous two CoC meetings in the name of Mr. Jaiprakash Mishra. Having developed doubts regarding the identity of the participant, the RP contacted the actual Mr. Jaiprakash Mishra. Mr. Mishra categorically stated that he had no association whatsoever with K-Lifestyle & Industries Limited, had never attended any CoC meeting of the Corporate Debtor, and had never authorized any person to participate on his behalf. Mr. Mishra further shared his recent photographs for verification and confirmed that he has no active email address. The RP compared the photographs with the individual attending the meeting and found that they were different persons. The identity of the actual Mr. Jaiprakash Mishra was further verified from the address proof, contact details, and other records available in the statutory filings made with the ROC. The RP confronted the individual attending the meeting regarding the apparent discrepancy in his identity and requested him to disclose his correct name and explain the mismatch. In response, the individual provided vague and evasive explanations, stating that the photograph relied upon by the RP was an old photograph and that the person depicted therein had undergone chemotherapy, resulting in a change in appearance. The RP specifically questioned how the present appearance of the individual appeared significantly younger than the person depicted in the earlier records, notwithstanding the explanation regarding medical treatment. However, the individual failed to provide any satisfactory explanation or documentary evidence in support of his claim and repeatedly declined to disclose his true identity despite specific directions from the RP. Subsequently, the individual switched off his camera and refrained from further clarifying the discrepancy. The Picture of both the persons is: Mr. Jay Prakash Mishra who Mr. Jay Prakash Mishra who was joining the connected with: (Original) meeting MINUTES OF ELEVENTH MEETING OF COMMITTEE OF CREDITORS OF K-LIFESTYLE & INDUSTRIES LIMITED The RP informed the individual that unauthorized participation in a confidential CoC meeting by impersonating another person constituted a serious matter and could amount to fraud and impersonation, besides compromising the confidentiality and integrity of the Corporate Insolvency Resolution Process. The members of the CoC also expressed serious concern over the incident and observed that such conduct was unacceptable and warranted appropriate legal action. After detailed deliberations, the members of the CoC requested the RP to initiate appropriate legal proceedings, including lodging a FIR against the individual for impersonation, unauthorized access to confidential CoC proceedings, and such other offences as may be advised under applicable law. Pursuant thereto, the RP immediately directed the individual to leave the meeting and removed him from the virtual conference to preserve the confidentiality and integrity of the proceedings. The CoC took note of the above incident and requested the RP to take all necessary legal and procedural steps, including filing an FIR and pursuing such other remedies as may be available under law against the impersonator.
