Approved the Unaudited Standalone and Consolidated Financial Results of the Trust for the quarter and half year ended 30th September, 2026 (“Unaudited Financial Results”) and the Statutory Auditor’s Limited Review Report thereon; A copy of said Unaudited Financial Results along with the Limited Review Report issued by the Statutory Auditors and Security Cover Certificate in compliance with Securities and Exchange Board of India (“SEBI”) Circular bearing reference no. SEBI/HO/MIRSD/MIRSD_CRADT/CIR/P/2022/6 dated 19th May, 2022, read with Regulation 54 of SEBI LODR Regulations, is enclosed and marked as Annexure A. Pursuant to paragraphs 4.17 and 4.18 of SEBI Master Circular for Real Estate Investment Trusts (REITs) No. SEBI/HO/DDHS-PoD-2/P/CIR/2025/99 dated 11th July, 2025, there is no material deviation in the use of proceeds from the funds raised through Initial Public Offer and issuance of Non-Convertible Debt Securities by the Trust. We have enclosed the statement of deviation / variation in the use of proceeds, reflecting nil deviation / variation, for the quarter ended 30th September, 2026 as Annexure B. 2. Approved the Distribution of INR 1.723/- (Indian Rupees One Point Seven Two Three only) per unit which aggregates to INR 7,640.47/- million (Indian Rupees Seven Thousand Six Hundred Forty Point Four Seven million only) to the Unitholders of the Trust for the quarter ended 30th September, 2026. The distribution comprises INR 4,075.21/- million (Indian Rupees Four Thousand Seventy-Five Point Two One million only) / INR 0.919/- (Indian Rupees Zero Point Nine One Nine only) per unit in the form of dividend, INR 1,410.14/- million (Indian Rupees One Thousand Four Hundred Ten Point One Four Million only) / INR KNOWLEDGE REALTY TRUST acting through its manager – Corp. Declared Net Asset Value of INR 126.55/- for the Trust as at 30th September, 2026 as per Regulation 10(22) of the SEBI REIT Regulations, based on the Summary Valuation Report dated 03rd November, 2026, issued by iVAS Partners, Independent Valuer, represented by its Partner Mr. Shubhendu Saha with market intelligence services provided by CBRE South Asia Private Limited; and 5. Took note of the withdrawal of the proposed Demergers of Devbhumi Realtors Private Limited and One International Center Private Limited, Special Purpose Vehicle(s) of Trust, which was earlier approved by the Board at its meeting held on 12th January, 2026 and subsequently by the unitholders of the Trust on 3rd February, 2026, after taking into consideration the relevant business, operational and other factors.
