The Report provides an overview of the Company's performance and year under review. FINANCIAL RESULTS: The Audited Financial Statements of the Company for the financial year ended March 31, 2026 have been prepared in compliance with the applicable Indian Accounting Standards (“Ind AS”), the provisions of the Companies Act, 2013 (“the Act”), and Regulation 33 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“SEBI Listing Regulations”). The decline in revenue during the year was primarily attributable to relatively challenging market conditions prevailing in the steel industry, including increased competition, volatility in raw material and steel prices, pressure on margins, and subdued demand from certain end-user sectors. The industry also witnessed fluctuations in domestic and global market dynamics, which impacted overall sales volumes during the year. In addition, the ongoing conflict in Iran and the Middle East caused problems in global energy supply, higher freight and shipping costs, and changes in international raw material prices during the year. This also disturbed the movement of steel and raw materials across global markets, adding further uncertainty to the industry. Although the Company mainly operates in the domestic market, these global issues still had an effect on overall demand within the domestic steel industry, which impacted sales and turnover during the year. Despite these challenges, the Company continued to focus on maintaining customer relationships, operational efficiency and market presence. Further, the Company reported profit before tax of Rs. 239.97 Lakhs for the financial year ended March 31, 2026, as against Rs. 236.96 Lakhs in the previous year, reflecting a marginal growth in profitability. The improvement in profit was supported by effective cost optimization measures, improved operational efficiencies, and focused resource management initiatives undertaken by the Company. The Company continued to focus on strengthening its operational capabilities, maintaining product quality standards, and enhancing customer relationships to sustain its market position. TRANSFER TO RESERVES The Board of Directors does not propose to transfer any amount to the General Reserve for the financial year ended March 31, 2026. After accounting for all appropriations and adjustments, the balance of Retained Earnings of the Company as at March 31, 2026 stood at Rs. 3,496.43 Lakhs. DIVIDEND The Board of Directors of your company at its meeting held on May 27, 2026 has recommended a Final Dividend of 10%, i.e., Rs. 1 (Rupees One) per equity share having a face value of Rs. 10/- (Rupees Ten) each, for the financial year ended March 31, 2026, subject to the approval of the shareholders at the ensuing 32nd Annual General Meeting (“32nd AGM”) of the Company.
