Regulations”)
Dear Sir/ Madam,
Pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations,
2015 (“Listing Regulations”) and further to our letters dated July 26, 2024 and February 26, 2025
regarding the commercial building developed by the Company under the name “Godrej Eternia”
situated at Chandigarh, we hereby inform that the Company has received a letter dated September 30,
2026 from the Ministry of Environment, Forest and Climate Change (“MoEFCC”) revoking the
Environmental Clearance granted for the said commercial building.
We strongly believe that the said revocation proceeds on an erroneous premise and is unsustainable in
law. We have acted in accordance with the approvals granted to us by the competent authorities. We
have already appealed against the said letter before the National Green Tribunal (“NGT”), and are
confident of our position on the merits.
The details as required under Regulation 30 of the Listing Regulations are given in Annexure A.
The Company remains committed to compliance with all applicable regulatory requirements in relation
to the project.

The details required under Regulation 30 read with sub-paragraph 20 of Para A of Part
A of Schedule III to the SEBI Listing Regulations are set out below:

passed commercial building known as Godrej Eternia situated
at Chandigarh
Date of receipt of direction or order, including any
ad-interim or interim orders, or any other September 30, 2026
communication from the authority
Details of the violation(s)/contravention(s) The MoEFCC alleges that the Project, Godrej Eternia
committed or alleged to be committed; (“Project”), falls within 10 km of the Sukhna Wildlife
Sanctuary, and that clearance from the Standing
Committee of the National Board for Wildlife
(“NBWL”) was therefore required but not obtained, in
purported violation of the Environmental Clearance
(“EC”) for the Project. The Company denies this
allegation.
The EC at no point required the Company to obtain
clearance from NBWL. Moreover, the Union
Territory of Chandigarh, by its Gazette Notification
dated January 18, 2017, conclusively notified the final
limits of the Environmentally Sensitive Zone (“ESZ”)
as extending up to a maximum of 2.75 km from the
boundary of the Sukhna Wildlife Sanctuary. The
Project is located 6.6 km from that boundary, which is
more than twice the notified limit and clearly outside
the ESZ. The question of NBWL clearance therefore
does not arise.
The said revocation comes a full ten years after the
Project was completed with all requisite approvals,
and notwithstanding the Company's full compliance
with the conditions of the EC. The Company has at all
times acted in good faith and strictly in accordance
with the approvals granted to it by the competent
authorities.
Impact on financial, operation or other activities of The Company has already filed an appeal against the
the listed entity, quantifiable in monetary terms to said letter before the NGT and is confident of its
the extent possible. position on the merits of the matter. The matter is thus
sub judice.
