In accordance with Regulation 30 and 51 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (Listing Regulations), please be informed that the Registrar of Companies, Central Processing Centre, Ministry of Corporate Affairs (ROC) has approved the change in the name of the Company from ‘ICICI Prudential Life Insurance Company Limited’ to ‘ICICI Life Insurance Limited’ with effect from September 22, 2026. The ROC has issued the fresh Certificate of Incorporation at 15:19 IST today, pursuant to which the name of the Company stands changed to ‘ICICI Life Insurance Limited’. Consequent upon the change in the name of the Company, the name clause of the Memorandum of Association and the relevant provisions of the Articles of Association of the Company stand altered accordingly. Please find enclosed the requisite details as per Regulation 30 read with Clause 12 of Paragraph B of Part A of Schedule III of the Listing Regulations and SEBI Master Circular dated January 30, 2026, as Annexure A and the fresh Certificate of Incorporation issued by the ROC as Annexure B . The Company shall be filing an intimation with the Insurance Regulatory and Development Authority of India for issue of the revised Certificate of Registration as per Insurance Regulatory and Development Authority of India (Registration, Capital Structure, Transfer of Shares and Amalgamation of Insurers) Regulations, 2024. Further, the Company shall also undertake necessary compliances in relation to change of name with the Stock Exchanges, Depositories, Registrar and Share Transfer Agent and other statutory/regulatory authorities, as applicable, in due course.
