Enclosing herewith the execution of SHA and SSA

Mukta Arts Ltd has executed a Shareholders Agreement and Securities Subscription Agreement with Mukta A2 Cinemas Private Limited and an investor, Mr. Rajiv Malhotra, to bring in an investment of up to Rs. 10 crores in Mukta A2. This will result in Mukta A2 ceasing to be a subsidiary of Mukta Arts Ltd and becoming an associate company, with Mukta Arts Ltd's shareholding in Mukta A2 being diluted to between 49% to 42%.
