NOTICE OF 102nd ANNUAL GENERAL MEETING (AGM) AND E-VOTING
Notice is hereby given that the 102nd Annual General Meeting of the Members of The Karnataka Bank Limited (‘the Bank’) will be convened on Tuesday,
September 22, 2026, at 11.00 AM IST through Video Conferencing (‘VC’) / Other Audio-Visual Means (‘OAVM’) facility to transact the Ordinary and
Special Business, as set out in the Notice convening the AGM. In compliance with the applicable provisions of the SEBI (Listing Obligations & Disclosure
Requirements) Regulations, 2015, the Companies Act, 2013 and Rules framed thereunder read with General Circular No.03/2025 dated September 22
2025 and SEBI Circular No.: SEBI/HO/CFD/CFD-PoD-2/P/CIR/2024/133 dated October 03, 2024 issued by the Securities and Exchange Board of India
(‘SEBI’), the Bank has disseminated the Notice of the 102nd AGM along with the web-link to access the Annual Report for the Financial Year 2025-26 on
August 31, 2026, through electronic mode only, to those members whose e-mail addresses are registered with the Bank / Depositories / Registrar and
Share Transfer Agent (‘RTA’) i.e., Integrated Registry Management Services Private Limited. The Bank shall send a physical copy of the Annual Report
2025-26 to those members who request for the same at investor.grievance@ktk.bank.in mentioning their Folio No. / DP ID and Client ID.
The Notice of the 102nd AGM along with the Annual Report of the Bank for the Financial Year 2025-26 is available on the website of the Bank at
https://karnatakabank.bank.in/investors and on the website of Central Depository Services (India) Limited (‘CDSL’) at www.evotingindia.com.
Additionally, the Notice of AGM and Annual Report is also available on the website of the Stock Exchanges on which the securities of the Bank are listed. i.e.
BSE Limited (‘BSE’) and National Stock Exchange of India Limited (‘NSE’) at www.bseindia.com and www.nseindia.com respectively.
Comprehensive guidance on (a) remote e-Voting before the AGM, (b) Joining the AGM Meeting through VC / OAVM (c) e-Voting during the AGM Meeting (d)
registration of email IDs of Members with the Bank and (e) updating of mandatory KYC documents and bank details of the Members with the Bank for the
purpose of receiving dividend through electronic medium are available in the 'Notes' section to the Notice of the AGM. The Notice can be accessed and
downloaded from the Bank's website at https://karnatakabank.bank.in/investors
Remote e-Voting:
In compliance with Section 108 of the Companies Act, 2013 read with Rule 20 of the Companies (Management and Administration) Rules, 2014,
Regulation 44 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 and the Secretarial
Standard on General Meetings (‘SS-2’) issued by the Institute of Company Secretaries of India (‘ICSI’), read with other applicable circulars issued by
MCA / SEBI, each as amended from time to time, the Bank is providing remote e-Voting facility before and during the AGM in respect of the business to be
transacted at the AGM and for this purpose, the Bank has appointed CDSL to facilitate voting through electronic means.
The detailed instructions for remote e-Voting are given in the Notes section of the Notice convening the 102nd AGM. Members are requested to take note of
the following:
1. The remote e-Voting facility will be available during the following period:
Commencement of e-Voting From 09.00 AM (IST) on Friday, September 18, 2026
End of e-Voting Up to 05.00 PM (IST) on Monday, September 21, 2026
The remote e-Voting module will be disabled by CDSL for voting thereafter and Members will not be allowed to vote electronically beyond the said date
and time.
2. The voting rights of Members shall be in proportion to their share in the paid-up equity share capital of the Bank as on Tuesday, September 15, 2026
(Cut-Off Date). Members will be provided with the facility for voting through electronic voting system during the VC / OAVM proceedings at the AGM
and Members participating at the AGM, who have not already cast their vote on the resolution(s) by remote e-Voting, will be eligible to exercise their
right to vote on such resolution(s) upon announcement by the Chairman. Members who have cast their vote on resolution(s) by remote e-Voting prior
to the AGM will also be eligible to participate at the AGM through VC / OAVM but shall not be entitled to cast their vote on such resolution(s) again. The
remote e-Voting module on the day of the AGM shall be disabled by CDSL for voting 15 minutes after the conclusion of the Meeting.
3. Any shareholder(s) holding shares in physical form or non-individual shareholders who acquire shares of the Bank and become a Member of the Bank
after dispatch of the Notice and holding equity shares as on the Cut Off date i.e., Tuesday, September 15, 2026, may obtain the user ID and Password
by sending a request at evoting@cdslindia.com and evoting@nsdl.com However, if a person is already registered with CDSL for remote e-Voting,
then the Member can use their existing User ID and password for casting the vote.
4. In case of individual Shareholder who acquires shares of the Bank and becomes a Member of the Bank after dispatch of the Notice and holds shares in
demat mode as on the cut-off date may follow the steps mentioned under ‘Login method for e-Voting and joining virtual meeting for Individual
shareholders holding securities in demat mode’ as provided in the Notice.
5. A person who is not a Member as on the Cut-off date should treat this Notice for information purpose only. A person whose name is recorded in the
Register of Members or in the Register of Benecial Owners maintained by the depositories as on the Cut-off date only shall be entitled to avail the
facility of remote e-Voting before the AGM as well as remote e-Voting during the AGM.
