I Tel.: 02717-661500 I CIN: L33121GJ1994PLC022460 E-mail: cs@transformerindia.com I Website: www.transformerindia.com NOTICE OF ~OSTAL BALLOT/ E-VOTING TO THE MEMBERS Notice is hereby given that the resolution in postal ballot notice proposed to be passed by the Members of Transformers and Rectifiers (India) Limited ("the Company") by means of Postal Ballot through remote e-voting only pursuant to \tie provisions of Section 110 and 108 and other applicable provisions, if any, of the Companies Act, 2013 (including any statutory modification or reenactment thereof for the time being in force) (hereinafter referred to as the "Act"), read together with the Companies (Management and Administration) Rules, 2014 (including any statutory modification or re-enactment(s) thereof for the time being in force) (hereinafter referred to as the "Rules"), as amended from time to time, read with the General Circular issued by the Ministry of Corporate Affairs, Government of India ("MCA Circular"), Regulation 44 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("SEBI LODR Regulations"), Secretarial Standard-2 issued by the Institute of Company Secretaries of India and other applicable laws and regulations, if any, the Notice of Postal Ballot seeking ·consent of the members by voting through electronic mode ("remote a-voting") and explanatory statement pursuant to Section 102(1) of the Act setting out all material facts relating to the resolution. The Postal Ballot notice has been sent to those members who have registered their e-mail address with the Company/ Registrar and Share Transfer Agent (in respect of shares held in physical form) or Depository Participants (in respect of shares held in dematerialised form) and made available to the Company by Depositories as on the cut-off date i.e. Friday, 21st August, 2026. The notice is also available on the website of Company: www.transformerindia.com and websites of stock exchanges where the shares of Company are listed. • The Board of Directors has appointed Mr. Tapan Shah, Practicing Company Secretary, as the Scrutinizer ("Scrutinizer") to ensure that the Postal Ballot process is conducted in a fair and transparent manner and in accordance with the said rules. As per Section 108 of the Companies Act, 2013 read with Rule 20 of the Companies (Management and Administration) Rules, 2014 and Regulation 44 of SEBI (Listing Obligations and Disclosure Requireme_nts) Regulations, 2015, the Company is pleased to provide remote a-voting facility to all the members, to enable them to cast their votes by electronic means on the resolution mentioned in Postal Ballot Notice through the Central Depository Services (India) Limited (CDSL). The remote e-voting commences at 09.00 a.m. (1ST) on Sunday, 301h August, 2026 and ends at 05.00 p.m. (1ST) on Monday, 28th September, 2026. The a-voting module shall be disabled for voting thereafter and voting through electronic means shall not be allowed thereafter. Once the vote on a resolution is cast by the Members, the Members shall not be allowed to change it subsequently. • The Members who have not received email ofP ostal Ballot Notice may write an email to cs@transformerlndla.com and/or lnvestor.helpdesk@ln.mpms.mufg.com with subject as "Postal Ballot Notice - Transformers and Rectifiers (India) Limited" and obtain the same.
