Dear Sir/ Madam,
Pursuant to Regulation 30 read with Schedule III of the Securities and Exchange Board of India (Listing
Obligations and Disclosure Requirements) Regulations, 2015, we would like to inform you that MST
Holding GmbH, Germany, a step down wholly owned subsidiary (“WoS”) of NIIT Learning Systems
Limited (“the Company”) on August 31, 2026 has decided for the voluntary dissolution and winding up
of its WoS, MST Shanghai Co. Limited (“MST Shanghai”) w.e.f. August 31, 2026. MST Shanghai
became a step-down wholly owned subsidiary of the Company consequent to the acquisition of MST
Investment Holding GmbH and its subsidiaries by NIIT (Ireland) Limited, a wholly owned overseas
subsidiary on July 9, 2025 and remained an inoperative entity since such acquisition.
The proposed dissolution and winding up shall be subject to the receipt of such applicable regulatory
approvals and completion of customary statutory and regulatory procedures, as applicable.
The said voluntary dissolution and winding up will not have any material impact on the operations or
financial statements of the Company. This voluntary dissolution is being undertaken to streamline and
simplify the overall corporate structure. Further, the proposed dissolution and winding up of MST
Shanghai Co. Limited will not result in any change in the shareholding pattern of any other subsidiary
or step-down subsidiary of the Company.
