The Order relates to the classi(cid:976)ication of certain goods imported by the Company under the Customs Act, 1962, in respect of which the Customs Authority has taken a view different from the classi(cid:976)ication adopted by the Company, resulting in a customs duty liability along with applicable interest and penalties as speci(cid:976)ied in the Order. The Company has considered the (cid:976)indings contained in the Order and is of the view that the classi(cid:976)ication adopted by it was in accordance with the applicable provisions of law. The Company proposes to pursue appropriate legal remedies in accordance with applicable law. The Company has consistently endeavoured to conduct its affairs in compliance with all applicable laws and regulations and remains committed to the highest standards of legal and regulatory compliance. We further wish to clarify that, although the Order is dated August 21, 2026, the same was physically received at the Company’s plant only in the late evening of Saturday, August 29, 2026. In view of the intervening weekend, the Order was brought to the attention of the concerned of(cid:976)icials on the next working day, i.e., August 31, 2026. The Company has accordingly made the present disclosure promptly upon the Order being brought to the attention of the concerned of(cid:976)icials. The Company will (cid:976)ile an appeal against the Order within the prescribed time limit and shall take such further appropriate steps as may be advised. Accordingly, based on the present assessment, the Company does not expect the Order to have any material (cid:976)inancial impact on the Company. Further, there is no impact on the Company’s operations or other activities on account of the Order. Nature and details of the action(s) The Of(cid:976)ice of the Principal Commissioner of Customs taken or order(s) passed. (Import), Inland Container Depot, Tughlakabad, New Delhi has issued an Order-in-Original in relation to the classi(cid:976)ication of certain goods imported by the Company under the Customs Act, 1962, which were declared as “Static Converters for Telecom” under CTH 85044090, and the consequent applicability of Basic Customs Duty (BCD) exemption under Sl. No. 4 of Noti(cid:976)ication No. 25/2005-Cus. dated March 1, 2005. The Customs Authority has taken a view different from the classi(cid:976)ication adopted by the Company. It has been alleged that the goods were in fact meant for Electric Vehicle Chargers, which were not eligible for the said exemption. The said Order has determined a customs duty liability of Rs. 14,48,80,677/- (Rupees Fourteen Crore Forty-Eight Lakh Eighty Thousand Six Hundred Seventy-Seven Only), along with applicable interest, and has imposed penalties as follows: (i) Rs. 14,48,80,677/- on the importer, i.e. the Company, under Section 114A of the Customs Act, 1962; (ii) Rs. 1,44,88,067/- on Mr. Anant Nahata, Managing Director & CEO of the Company, under Section 112(a)(ii) of the Customs Act, 1962; (iii) Rs. 1,44,88,067/- on Mr. Vivekanand Kumar, Whole- time Director of the Company, under Section 112(a)(ii) of the Customs Act, 1962; and (iv) Rs. 1,44,88,067/- on Mr. Shiraz Khanna, Chief Financial Of(cid:976)icer of the Company, under Section 112(a)(ii) of the Customs Act, 1962. 3.
