(IST) through Video Conferencing (“VC”) / Other Audio-Visual Means (“OAVM”), in accordance with the applicable provisions of the Companies Act, 2013 and the circulars issued by the Ministry of Corporate Affairs and the Securities and Exchange Board of India. The Registered Office of the Company, situated at Survey No. 166, Kulali Cross, Jamkhandi Mudhol Road, Bagalkot Karnataka 587313 was the deemed venue of the AGM. Mr. Monu Kumar, Company Secretary and Compliance Officer, welcomed the Members to the AGM and confirmed that the requisite quorum was present. The Company Secretary informed the Members that the Register of Directors and Key Managerial Personnel and their shareholding, the Register of Contracts or Arrangements in which Directors are interested, were available for inspection electronically during the Meeting. He also informed the Members that, as the AGM was conducted through VC/OAVM, the facility for appointment of proxies was not applicable. He further informed the Members that the Company had provided the facility of remote e-voting through National Securities Depository Limited (“NSDL”) on all the resolutions set out in the Notice convening the AGM. The remote e-voting commenced at 9:00 a.m. (IST) on Thursday, August 27, 2026, and concluded at 5:00 p.m. (IST) on Sunday, August 30, 2026. He stated that the Members who had not cast their votes through remote e-voting could cast their votes electronically during the AGM and for a further period of 15 minutes after the conclusion of its proceedings. The Company Secretary then requested Mr. M. B. Dyaberi, Chairman, to call the Meeting to order and address the Members. As the requisite quorum was present, the Chairman, Mr. M B Dyaberi, called the Meeting to order and addressed the Members. He welcomed Members to the Company's first AGM as a listed entity and thanked shareholders, employees, farming communities, partners, vendors, customers, lenders and government authorities for their continued support. He highlighted India's opportunity to position climate action as an enabler, rather than a constraint, on development amid growing global focus on energy security and sustainability. He informed Members that the Company continued to strengthen its ethanol business during the year while expanding into compressed biogas, sustainable aviation fuel and other clean-energy opportunities, and reaffirmed the Board's commitment to ethical conduct, strong oversight, risk management and disciplined capital allocation. He noted that the Company's first year as a listed entity had reinforced the importance of transparency, accountability and governance in its decision-making and stakeholder engagement. He thanked the Central and State Governments for an enabling policy environment, and expressed gratitude to the Board, management, employees, farmers, partners, vendors, customers, lenders and shareholders for their continued support and trust. He concluded by expressing confidence in India's and the Company's role in the global energy transition, and invited the Executive Director, Mr. Vishal Nirani, to address the Members. The Executive Director, Mr. Vishal Nirani, addressed the Members, describing FY 2025-26 as a year of building capability and new businesses for TruAlt, and its first full year as a listed entity. He stated that the Company's focus remains on converting investments into stronger utilization, profitability and long- term value. On ethanol, he informed Members that ~1,300 KLPD (around 65% of the Company's 2,000 KLPD installed capacity) had been converted to dual-feed capability, with the focus now on raising utilisation towards 85% and beyond. On CBG, he noted the ~22% increase in administered CBG price (₹85 to ₹104/kg) and informed Members that three CBG plants of 20 TPD each (60 TPD total) are under construction. On SAF, he stated that the Company's 100 MLPA project in Andhra Pradesh is progressing, supported by a ₹150 crore grant under the PM JI-VAN Yojana. On fuel retail, he noted seven outlets are currently operational, with a Phase I target of 100 fuel stations. He stated that TruAlt is evolving into an integrated bioenergy platform, and acknowledged the contribution of the Company's employees during a year of significant transformation. He then invited the Managing Director, Mr. Vijay Nirani, to address the Members. The Managing Director, Mr. Vijaykumar Nirani, welcomed Members to the Company's Fifth AGM and its first as a listed entity. He stated that TruAlt continues to be one of India's largest dedicated biofuels enterprises, with an ambition to build an integrated bioenergy platform across the bio-based hydrocarbon value chain. On ethanol, he noted the Company's conversion to dual-feed capability has enabled greater flexibility, improved utilisation and better returns. Placing this in the national context, he highlighted that India's ethanol-blending programme had achieved the E20 target in 2025-26 (five years ahead of schedule), saving over ₹1.90 lakh crore in forex, substituting 310+ lakh MT of crude oil, and generating ₹1.60 lakh crore in additional farmer earnings since 2014-15. He informed Members that TruAlt is associated with ~3.5 lakh farmers and supports ~1,800–1,900 jobs. On CBG, he noted the Company's partnership with GAIL and Sumitomo, with three plants (60 TPD) nearing commissioning, six further projects with GAIL, and additional capacity planned over the next 24 months, supported by the Government's GOBARdhan framework.
