Dear Sir/ Madam,
With reference to our earlier intimation dated August 24, 2026 and pursuant to the
Regulations 30 and 34(1) of the SEBI Listing Regulations, as amended from time to time,
please find enclosed herewith the Annual Report for FY 2025-26 including Notice and
Explanatory Statement of the 42nd Annual General Meeting (“AGM”) of the Company,
scheduled to be held on Thursday, September 24, 2026 at 11:30 A.M. (IST) through Video
Conferencing (“VC”)/ Other Audio-Visual Means (“OAVM”) to transact the businesses as set
out in the notice.
In compliance with the applicable circulars issued by the Ministry of Corporate Affairs and the
Securities and Exchange Board of India from time to time, the Annual Report for FY 2025-26
including Notice of the AGM are being sent electronically only to those Members, whose
email addresses are registered with the Company or the Registrar and Share Transfer Agent
(“RTA”) of the Company or their respective Depository Participants (“DPs”). Further, in
accordance with Regulation 36(1)(b) of the SEBI Listing Regulations, the Company has
initiated sending a letter containing web-link and QR Code for accessing the Annual Report
along with the AGM Notice for FY 2025-26 to all those Members who have not registered
their e-mail addresses.
Further, in terms of Regulation 44 of the SEBI Listing Regulations, the Company has obtained
the services of MUFG Intime India Private Limited (Formerly Link Intime India Private Limited),
RTA of the Company, for providing the e-voting facility, including remote e-voting, to its
members. The members holding shares of the Company as on September 17, 2026 (“cut-off
date”) shall be given a facility to cast their vote electronically through remote e-voting on the
business items to be transacted at the AGM.
