Road, Kochi - 682 035, Kerala P: +91-484-6619600, Email: secretarial@muthootcap.com, www.muthootcap.com CIN: L67120KL1994PLC007726 SUMMARY OF PROCEEDINGS OF THE 32ND ANNUAL GENERAL MEETING The 32nd (Thirty-Second) Annual General Meeting (“AGM”) of Muthoot Capital Services Limited (“the Company”) was held on Monday, August 31, 2026, at 11:00 a.m. (IST) through Video Conferencing (VC) / Other Audio-Visual Means (OAVM), in accordance with the applicable provisions of the Companies Act, 2013 (“Act”) read with the relevant Rules made thereunder, the Secretarial Standards issued by the Institute of Company Secretaries of India (ICSI), the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“Listing Regulations”) and the applicable circulars issued by the Ministry of Corporate Affairs (“MCA”) and the Securities and Exchange Board of India (“SEBI”). Ms. Deepa G, Company Secretary and Compliance Officer, welcomed the Members, Directors and other Invitees to the Annual General Meeting. Since the Company does not have a designated Chairperson, the Directors present at the Meeting unanimously elected Ms. Divya Abhishek, Independent Director, to chair the Meeting. The Chairperson called the Meeting to order as the requisite quorum was present. The Chairperson welcomed the Directors and Invitees present at the Meeting and introduced them to the Members of the Company. Mr. Robin Tommy, Director of the Company, could not attend the AGM due to personal reasons. The Chairperson also introduced the Chief Executive Officer, Chief Financial Officer and Company Secretary of the Company. The Chairperson stated that Ms. Usha, Partner, representing M/s. Sundaram & Srinivasan, Chartered Accountants, Statutory Auditors of the Company, and Mr. S. Sandeep, Managing Partner of M/s. S. Sandeep and Associates, Secretarial Auditors of the Company for FY 2025-26 and Scrutinizer appointed for scrutinizing the remote e-voting process and electronic voting conducted during the AGM, had also joined the Meeting. The Company Secretary informed the Members that the proceedings of the AGM could be viewed live by Members by logging on to the website of the Central Depository Services (India) Limited (“CDSL”). The Company had taken requisite steps to enable Members to participate and vote on the business transacted at the AGM. The Members were informed that the Register of Directors and Key Managerial Personnel, the Register of Contracts or Arrangements, the Certificate from the Secretarial Auditor as prescribed under the Securities and Exchange Board of India (Share Based Employee Benefits and Sweat Equity) Regulations, 2021 and other requisite statutory registers and documents referred to in the Notice were made available electronically for inspection during the AGM. With the consent of the Members present, the Notice convening the AGM and the Statutory Auditors’ Report for the Financial Year ended March 31, 2026, were taken as read. It was noted that the Statutory Auditors' Report on the Standalone Financial Statements of the Company for FY 2025-26 did not contain any qualification, reservation, adverse remark or disclaimer. The Chairperson addressed the Members and briefed them on the Company's operational and financial performance during FY 2025-26. The Members were informed that, in accordance with the provisions of the Companies Act, 2013 and the Listing Regulations, the Company had provided the facility for voting electronically through remote e-voting prior to the AGM and through e-voting during the AGM, facilitated by CDSL, on all the Resolutions set out in the Notice of the AGM. The remote e-voting period commenced at 9:00 a.m. (IST) on Thursday, August 27, 2026, and concluded at 5:00 p.m. (IST) on Sunday, August 30, 2026. The remote e-voting module was disabled by CDSL for voting thereafter. The following four (4) Resolutions, as set out in the Notice of the AGM dated July 16, 2026, were transacted at the Meeting: Sl. Particulars Type of Resolution ORDINARY BUSINESS 1 To receive, consider and adopt the Audited Standalone Ordinary Resolution Financial Statements of the Company for the Financial Year ended March 31, 2026, together with the Reports of the Board of Directors and the Statutory Auditors thereon. 2 To appoint a Director in place of Ms. Susan John (DIN: Ordinary Resolution 10763021), who retires by rotation in accordance with Section 152(6) of the Companies Act, 2013 and being eligible, offers herself for re-appointment. SPECIAL BUSINESS 3 Appointment of Ms. Manimekhalai A (DIN: 08411575) as an Special Resolution Independent Director of the Company. 4 Re-appointment of Mrs. Shirley Thomas (DIN: 08586100) as Special Resolution an Independent Director of the Company. The detailed Explanatory Statement setting out the material information with respect to the items of Special Business formed part of the AGM Notice. Members who had registered themselves as Speaker Shareholders were given an opportunity to express their views and seek clarifications on the business items placed before the AGM. However, none of the Speaker Shareholders were present at the Meeting. Hence, the Meeting concluded at 11:30 a.m. (IST). The e-voting facility was kept open for a further 30 minutes to enable the Members who had not already cast their votes to cast their votes. The Scrutinizer, M/s. S. Sandeep and Associates, Company Secretaries, shall submit the Scrutinizer’s Report to the Company Secretary, and the results of the e-voting shall be declared within two working days from the conclusion of the AGM. The said results along with the Scrutinizer’s Report shall be posted on the website of the Company, i.e., www.muthootcap.com, and on the e-voting website of CDSL at www.evotingindia.com and shall also be placed on the notice board of the Company at its Registered Office. The results shall simultaneously be communicated to the Stock Exchanges where the shares of the Company are listed.
