June 26, 2026 Listing Compliance Department, National Stock Exchange of India Limited Exchange Plaza, Bandra-Kurla Complex, Bandra (East), Mumbai- 400 051 Subject: Clarification on Submission of Statement of Impact of Audit Qualifications – Diligent Media Corporation Limited Dear Sir / Madam, This is with reference to your communication dated June 25, 2026, seeking clarification on the following point: Outcome of Board Meeting-Financial Results submitted to the Exchange dated 28-May-2026 of DNAMEDIA : Diligent Media Corporation Limited. Following deficiency/ non submission have/has been observed in your result, you are requested to kindly clarify on below mentioned points. 1. The Statement of Impact of Audit Qualifications in case of modified opinion(s)/ Declaration of unmodified opinion submitted is not in the format prescribed by SEBI-Not signed by MD In this regard, we wish to submit that at the meeting of the Board of Directors in its meeting held on May 28, 2026, approved the Annual Audited Financial Results of the Company for the fourth quarter and Financial Year ended March 31, 2026. Since the Statutory Auditors had issued a modified opinion on the financial statements, the Company duly submitted the Statement of Impact of Audit Qualifications in the format prescribed by the SEBI. With respect to the observation regarding the absence of the signature of the CEO / Managing Director, we would like to clarify that as on May 28, 2026, the Company did not had any CEO / or either any Managing Director. The composition of the Board of Directors and Key Managerial Personnel as on the said date was as follows: Board of Directors • Mr. Nagendra Bhandari – Whole-Time Director (Executive Director – Finance) • Mr. Amit Singhal – Independent Director and Chairman of the Audit Committee • Mrs. Garima Bharadwaj – Independent Director • Mr. Prakash Vaghela – Independent Director • Mr. Ronak Jatwala – Non-Executive, Non-Independent Director • Mr. Mukesh Jindal – Non-Executive, Non-Independent Director Key Managerial Personnel • Mr. Nagendra Bhandari – Chief Executive Officer • Ms. Jyoti Upadhyay – Company Secretary Accordingly, since there was no any CEO / or either any Managing Director in the Company as on May 28, 2026, the requirement of obtaining the signature of a CEO / Managing Director on the Statement of Impact of Audit Qualifications was not applicable. The Company had duly complied with the applicable requirements and submitted the Statement of Impact of Audit Qualifications in the format prescribed by SEBI, duly signed by all officials whose signatures were applicable and required under the prescribed format.
