The 18th Annual General Meeting (“AGM”/“Meeting”) of the Members of GK Energy Limited (“Company”) was held on Monday, 31st August, 2026 at 11:00 A.M. (IST) through Video Conferencing (“VC”)/Other Audio Visual Means (“OAVM”) in accordance with the applicable provisions of the Companies Act, 2013 (“Act”), read with the rules made thereunder, the Secretarial Standards issued by the Institute of Company Secretaries of India, the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“SEBI Listing Regulations”) and applicable circulars issued by the Ministry of Corporate Affairs (“MCA”) and the Securities and Exchange Board of India (“SEBI”) from time to time. The AGM was deemed to have been conducted at the Registered Office of the Company at Office No. 1901, Tower A, Gokhale Business Bay, Plot No. A6 A7, Sr. No. 20/2, Paschimnagri, Kothrud, Pune, Maharashtra, India, 411038. Mr. Shubham Suresh Jain, Company Secretary & Compliance Officer of the Company, welcomed all the Members, Directors, Auditors and the Scrutinizer to the 18th AGM of the Company. Rughani & Co., Statutory Auditors of the Company also attended the AGM through VC/OAVM. CS Shashank More, Partner of SMTP & Associates LLP, Practising Company Secretary and Scrutinizer appointed by the Board of Directors, also attended the AGM. 52 Members were present at the AGM through VC/OAVM. Mr. Gopal Kabra, Chairman, Managing Director & Chief Executive Officer of the Company, chaired the proceedings of the AGM. He welcomed all the Members of the Company to the meeting. The requisite quorum being present, the Chairman called the Meeting to order. The Company Secretary informed the Members that the AGM was being conducted through VC/OAVM in accordance with the applicable provisions of the Companies Act, 2013, the SEBI Listing Regulations and the applicable circulars issued by the MCA and SEBI. He further informed the Members that the Company had made necessary arrangements to facilitate the participation of Members in the AGM and to enable them to exercise their voting rights electronically. The Company Secretary also informed the Members that, as the AGM was being held through VC/OAVM, the facility for appointment of proxies by the Members was not applicable. The Company Secretary thereafter informed the Members about the e-voting arrangements. He informed the Members that, in terms of Section 108 of the Companies Act, 2013 read with Rule 20 of the Companies (Management and Administration) Rules, 2014 and Regulation 44 of the SEBI Listing Regulations, the Company had provided the facility of remote e-voting on all the resolutions set forth in the Notice of the AGM. Members who had already cast their votes through remote e-voting were entitled to attend the AGM but were not entitled to vote again at the Meeting. Members who had not cast their votes through remote e-voting and were otherwise eligible to vote were provided an opportunity to cast their votes electronically during the AGM through the e-voting facility provided by MUFG Intime India Private Limited. It was also informed that there would be no voting by show of hands. The Company Secretary informed the Members that the e-voting facility during the AGM would remain available for 15 minutes after the conclusion of the AGM. The Members were informed that the remote e-voting facility was available from 28th August, 2026 at 9:00 A.M. to 30th August, 2026 at 5:00 P.M. The cut-off date for determining the eligibility of Members to vote was 24th August, 2026. He further informed the Members that CS Shashank More, Partner of SMTP & Associates LLP, Practising Company Secretaries, had been appointed as the Scrutinizer for scrutinizing the remote e-voting process and e-voting during the AGM in a fair and transparent manner. The Company Secretary also informed the Members that the Scrutinizer would submit his consolidated report and that the voting results would thereafter be declared and placed on the website of the Company and MUFG Intime India Private Limited and communicated to National Stock Exchange of India Limited and BSE Limited within the applicable statutory and regulatory timelines. Thereafter, the Chairman delivered his address to the Members, highlighting the Company’s performance during the financial year 2025-26, key operational achievements, financial performance, industry overview, positioning of the Company, future growth prospects and commitment towards the shareholders of the Company. The Company Secretary informed the Members that electronic copies of the Notice of 18th AGM and Annual Report for the financial year 2025-26 were sent to all the Members who had registered their e-mail addresses with the Company, depository participants or the Register & Transfer Agent i.e., MUFG Intime India Private Limited. For Members whose e-mail addresses were not registered, letters containing the web link, path and QR code for accessing the Notice of AGM and Annual Report were dispatched in accordance with the applicable requirements. He further informed the Members that the Notice of 18th AGM and Annual Report were also made available on the investor section of the websites of the Company, National Stock Exchange of India Limited and BSE Limited, and MUFG Intime India Private Limited, which is the e-voting partner for conducting this Meeting. The Company had also dispatched the physical copies of the Annual Report to those Members who had requested the same. The documents required to be made available for inspection by the Members under the applicable provisions of the Companies Act, 2013, and the rules made thereunder were made available during the proceedings of the AGM, hosted on the InstaMeet portal.
