Sub: Disclosure under Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations,
2015 – Order passed by the Central Government Industrial Tribunal-cum-Labour Court, Chennai.
Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, read
with Para A(20) of Part A of Schedule III thereof and the applicable provisions of the SEBI Master Circular No.
HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 issued on July 11, 2023 and last updated on January 30, 2026, we
hereby inform that the Company has on 31st August 2026, become aware of the contents of the certified copy of the
order dated 25th August 2026, passed by the Central Government Industrial Tribunal-cum-Labour Court, Chennai, in
EPFA No. 259 of 2017, in the matter of W.S. Industries (India) Limited v. The Assistant Provident Fund
Commissioner (PDC), Employees Provident Fund Organisation, Regional Office, Sriperumbudur.
The details of the order are as follows:

passed the order dated 1st April 2013 passed by the Assistant Provident Fund
Commissioner (PDC), Tambaram, whereby damages of ₹11,91,943/-
under Section 14B and interest of ₹9,92,639/- under Section 7Q of the
Employees’ Provident Funds and Miscellaneous Provisions Act, 1952
were determined for the period from November 1990 to March 2012.
The Tribunal has directed that 50% of the damages assessed under Section
14B be waived and that the remaining 50% of the assessed damages be
paid within three months from the date of the order, subject to adjustment
of any amount already deposited by the Company.
The Tribunal has further held that the appeal under Section 7Q of the
Employees’ Provident Funds and Miscellaneous Provisions Act, 1952 is
not maintainable.
3 Date of receipt of direction The order was pronounced by the Tribunal on 21st July 2026. The

4 Details of the violation(s) / The proceedings relate to delay/default in remittance of employees’
contravention(s) committed Provident Fund contributions pertaining to the period from November
or alleged to be committed 1990 to March 2012, which was prior to the takeover of the Company by
the present management. The default related to the period when the
Company was facing severe financial distress and operational disruptions.
The proceedings resulted in assessment of damages under Section 14B
and interest under Section 7Q of the Employees’ Provident Funds and
Miscellaneous Provisions Act, 1952.
