Dear Members
We are pleased to present the report on our business and operations for the year ended March 31, 2026.
1. Results of our Operations:
The Company’s financial performance for the year ended March 31, 2026, is summarized below;

a. Review of operations and affairs of the Company:
During the year under review, the Company narrowed Net Loss of Rs. 22.92 lacs against a Net Loss of Rs.
36.90 lacs in previous financial year, reflecting the impact of cost rationalization and operational discipline
undertaken by the management despite a challenging demand environment. Revenue from operations was
impacted on account of subdued order inflows for the Company's Specialty Chemicals products used in
various grades of Coal and Coke, a trend witnessed across the sector on the back of continued volatility in
global coal prices, which affected the viability matrix for several of our customers. The Company's newer
product lines, developed through its in-house R&D over the last 4-5 years and which have been the principal
growth drivers in recent years, are yet to achieve full market stabilization, and the management is actively
engaging with customers to accelerate order conversion in the current year.
The Management remain confident of the long-term prospects of these products and continue to pursue all
available avenues to revive growth momentum, while also exploring new market segments and applications
to diversify the Company's revenue base. The Company's R&D Department has also successfully developed
certain new products for the consumer segment, which have received positive response from customers.
While current volumes remain modest, the Directors are optimistic that sustained focus on this segment will
contribute meaningfully to both revenue and profitability over the medium to long term. Going forward, the
Company remains focused on strengthening its order pipeline through deeper customer engagement, faster
stabilization of its newer product lines, and continued investment in R&D-led innovation.
b. Change in Nature of Business:
During the year under review, there has been no change in the nature of the business of the Company except
the Company has commenced online sales of some consumers Products developed by the Company.
c. Dividend:
In view of loss, the Board has not recommended any Dividend for the year.
d. Transfer to Reserves:
The Company has not proposed to transfer any amount to any reserves.
e. Transfer of Unclaimed Dividend to Investor Education and Protection Fund:
The provisions of section 125(2) of the Companies Act, 2013 is not applicable to the Company.
f. Details relating to deposits, covered under Chapter V of the Companies Act, 2013:

h. Particulars of loans, guarantees or investments:
During the year under review, pursuant to the provision of section 186 of the Companies Act 2013, the
Company has not granted any loan or given any guarantee or provided any security. The details of
Investments made by the Company are provided in Note No. 3 of the Financial Statements.
i. Particulars of contracts or arrangements made with related parties:
The Company has entered into related party transaction and the particulars of contracts or arrangements with
related parties referred to in section 188(1) of the Companies Act, 2013, as prescribed in Form AOC-2 is
appended as Annexure I.

j. Material changes & commitments affecting financial position of the Company, occurring between the
end of financial year and the Boards Report date:
There are no material changes or commitments likely to affect the financial position of the Company which
in the opinion of your Board has an impact on the functioning and working of the Company. The operations
of the Company have effectively been managed, and the Management reviews the performance from time
to time in order to monitor the business activities of the Company.
