Yours faithfully, Sham K Company Secretary & Compliance Officer Regd. & Head Office : Mahaveera Circle, Kankanady, Mangaluru - 575 002 CIN : L85110KA1924PLC001128, e-mail: investor.grievance@ktk.bank.in [Website : www.karnatakabank.bank.in Tel. no. 0824-2228222] 102nd ANNUAL GENERAL MEETING (AGM) TO BE HELD THROUGH VC / OAVM Notice is hereby given that the 102nd Annual General Meeting (AGM) of the Members of The Karnataka Bank Limited will be convened on Tuesday, September 22, 2026 at 11.00 A.M. through Video Conferencing (VC) / Other Audio Visual Means (OAVM) facility to transact the business, as set out in the Notice of the 102nd AGM, in compliance with the applicable provisions of the SEBI (Listing Obligations & Disclosure Requirements) Regulations, 2015 and Companies Act, 2013 and Rules framed thereunder read with General Circular No.: 03/2025 dated September 22, 2025, and SEBI Circular dated October 03, 2024 for conducting AGM without the physical presence of Members at a common venue. The Notice of the 102nd AGM along with the Annual Report will be sent in due course through electronic mode only, to the Members of the Bank whose email addresses are registered with the Depository Participant / Registrar & Share Transfer Agent (RTA). The Notice of the 102nd AGM and Annual Report for Financial Year 2025-26 will also be made available on the website of the Bank at https://karnatakabank.bank.in/investors and on the website of CDSL at www.evotingindia.com. Additionally, the notice of AGM and Annual Report will also be available on the website of the Stock Exchanges i.e., BSE Limited (BSE) and National Stock Exchange of India Limited (NSE) at www.bseindia.com and www.nseindia.com respectively. Members can attend and participate in the 102nd AGM through VC / OAVM facility only. The Bank will be providing remote e-voting facility to all its members to cast their votes before the date of AGM on the resolutions set out in the Notice of the AGM and also e-voting facility during the AGM. The detailed instructions / procedure with respect to participation and e-voting will be provided in the Notice convening the Meeting. Members attending the meeting through VC / OAVM shall be counted for the purpose of quorum in terms of Section 103 of the Companies Act, 2013. Members are requested to contact their Depository Participant and register their email address and bank account details in their demat account as per the process of the respective Depository Participant. Dividend Record Date The Board of Directors at their meeting held on Tuesday, May 19, 2026, recommended dividend at the rate of `5.00/- per equity share having face value of `10/- each for the Financial Year ended March 31, 2026. The record date for the purpose of the dividend is September 15, 2026. The dividend once declared by the shareholders in the 102nd AGM will be paid to those shareholders whose name appear in the Bank's Register of Members / Statement of Benecial Position received from the NSDL and the CDSL as at the close of business hours on September 15, 2026. To avoid the delay in receiving dividend, Members are requested to update their KYC with their depositories; (where shares are held in dematerialized mode) and with the Registrar & Share Transfer Agent of the Bank (where shares are held in physical mode) to receive dividend directly to their bank account. All future dividend payments shall be made only through electronic mode of payment approved by the Reserve Bank of India and the Bank will not be paying dividend(s) through physical mode i.e., ‘Dividend Warrants’. Members may note that the Income Tax Act 2025, (“the IT Act”) mandates that dividends paid or distributed by the Company shall be taxable in the hands of Members. The Bank shall therefore be required to deduct tax at source (“TDS”) at the time of making the payment of the nal dividend. To enable us to determine the appropriate TDS rate as applicable, Members are requested to submit relevant documents in accordance with the provisions of the IT Act on or before September 17, 2026. In this regard, a separate email is being sent to the Members whose email address is registered with the depositories and also to the physical shareholders who have registered their e-mail addresses explaining the process of withholding of tax at prescribed rates on dividend being paid to the Members.
