Pursuant to Regulations 30, 34, 36(1), 50(2) and 53 read with Para A of Part A of Schedule III of the
Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements)
Regulations, 2015 (“Listing Regulations”), please find enclosed herewith, the Annual Report of
Astec LifeSciences Limited (“Company”) for the Financial Year 2025-26, containing, inter alia,
the Notice of the 32nd (Thirty-Second) Annual General Meeting (“AGM”) of the Company
scheduled to be held on Friday, 31st July, 2026 at 4.00 p.m. (IST) through Video Conferencing
(“VC”) / Other Audio Visual Means (“OAVM”).
The Annual Report of the Company for the Financial Year 2025-26 [comprising of, inter alia,
Audited Standalone and Consolidated Financial Statements, Reports of the Board of Directors and the
Statutory Auditors for the said Financial Year, Notice of the AGM], is also available on the
website of the Company, viz., www.godrejastec.com at the weblink https://www.godrejastec.com/
investors/annual-reports.
Further, this is to inform that the Company has issued letters to all the Shareholders whose e-
mail addresses are not registered with the Company or Depository Participants or the Company’s
Registrar and Share Transfer Agent, viz., Bigshare Services Private Limited, containing the weblink
from where the Shareholders can access the Annual Report the Company’s website. The letter in
this regard is enclosed herewith.
We further wish to inform that pursuant to Section 91 of the Companies Act, 2013 and Regulation
42 of the Listing Regulations, the Register of Members and the Share Transfer Books of the
Company will remain closed for the purpose of the 32nd (Thirty-Second) AGM from Sunday, 26th
July, 2026 to Thursday, 30th July, 2026 (both days inclusive).
The remote e-voting period commences on Sunday, 26th July, 2026 at 9.00 a.m. (IST) and ends on
Thursday, 30th July, 2026 at 5.00 p.m. (IST). During this period, the Shareholders of the Company,
holding shares either in physical form or in dematerialized form, as on the Cut-off date, i.e., Friday, 24th
July, 2026, may cast their votes by remote e-voting.

It is my privilege to present the Annual Report of your Company for the Financial Year 2025–26.
The year under review unfolded amid a complex and evolving global environment. Persistent geopolitical
tensions, shifting trade dynamics, and climate variability continued to create uncertainty across markets.
The agrochemical industry, in particular, witnessed a gradual transition from a phase of inventory correction
toward volume normalization, even as pricing remained under pressure due to competitive intensity and
supply-side realignments.
In this backdrop, India continued to demonstrate resilience, supported by strong domestic demand, stable
macroeconomic fundamentals, and an increasingly favorable policy framework. The agricultural sector
remains central to this growth narrative, driving rural demand while undergoing a structural transition
toward productivity-led and technology-enabled practices.
Against this dynamic landscape, your Company remained focused on strengthening its core businesses,
improving execution discipline.
Strategizing for Sustainable and Resilient Growth
Financial Year 2025–26 was a year that required calibrated responses and disciplined execution. The
operating environment for B2B agrochemicals—especially in enterprise products and Contract Development
and Manufacturing Organization (CDMO) —remained challenging in the first half, impacted by destocking,
subdued demand, and price corrections. Your Company delivered a strong turnaround, achieving EBITDA
break-even for the year. Improved volumes, better realizations, and higher capacity utilization across
Enterprise and CDMO portfolios positioned your company for sustained recovery.
However, as the year progressed, early signs of stabilization emerged, with recovery being driven largely by
volume growth rather than pricing. In this context, our focus remained clearly anchored on:

• Enhancing product mix and realisations
