PROCEEDINGS OF THE 22ND ANNUAL GENERAL MEETING OF THE MEMBERS
OF GOLDLINE PHARMACEUTICAL LIMITED HELD ON SATURDAY, 29TH
AUGUST, 2026 AT 04:00 P.M. AT HOTEL AIRPORT CENTRE POINT, 131/1,
ADJACENT TO AIRPORT, WARDHA ROAD, SOMALWADA, NAGPUR,
MAHARASHTRA 440025
The 22nd Annual General Meeting (“AGM”) of the Goldline Pharmaceutical Limited (“the
Company”) was held on Saturday, 29th August 2026 at 04:00 P.M. at Hotel Airport Centre Point,
131/1, Adjacent to Airport, Wardha Road, Somalwada, Nagpur, Maharashtra 440025.
Time of Commencement: 04:00 P.M Time of Conclusion: 05:05 P.M.
1. MEMBERS OF THE BOARD AND KEY MANAGERIAL PERSONNEL PRESENT:
The following Directors and Key Managerial Personnel were present at the Meeting:
1. Mr. Amol Laxmikant Mujumdar – Chairman & Managing Director
2. Mr. Swapan Khandelwal – Whole-Time Director
3. Dr. Prashant Rahate – Non-Executive Director
4. Mr. Prashant Shrikrishna Karkare – Executive Director
5. Mr. Avinash Pandurang Ambulkar – Executive Director
6. Mrs. Dipti Sharad Bhusari – Chief Financial Officer
7. Mr. Mehul Hari Ranade – Independent Director
8. Mrs. Renuka Saurabh Borole – Independent Director
9. Ms. Shraddha Kiran Kulkarni – Independent Director

The following invitees were present at the Meeting:

Total 15 Members, including authorised representatives, attended the meeting at the venue.
The requisite quorum being present, the Meeting was called to order.
4. WELCOME AND INTRODUCTION
The meeting commenced with a welcome address by Mr. Kiran Durugkar, Anchor for the
AGM, who welcomed the Members, Directors, senior management, auditors and other
distinguished guests present at the meeting.
The Anchor highlighted that the AGM was particularly significant as it was the first Annual
General Meeting of the Company following the successful listing of its equity shares on the
BSE SME Platform in May 2026.
The members of the Board and senior management present on the dais were introduced to the
Members.
5. FORMAL OPENING OF THE MEETING
Thereafter, Ms. Ruchi Modi, Company Secretary & Compliance Officer, welcomed the
Members and briefed them regarding the formal proceedings of the AGM.
The Members were informed that the Notice convening the 22nd AGM, together with the
Annual Report for the financial year ended 31st March 2026, had been circulated to the
Members in accordance with the applicable provisions of the Companies Act, 2013 and other
applicable regulatory requirements.
The Company Secretary further informed the Members regarding the facility of remote e-
voting provided by the Company. The Members were informed that the remote e-voting facility
was made available from Tuesday, 25th August 2026 at 9:00 A.M. to Friday, 28th August 2026
at 5:00 P.M.
It was further informed that Members who had already exercised their voting rights through
remote e-voting could attend the AGM but would not be entitled to vote again at the meeting.
Members who had not exercised their votes through remote e-voting were provided an
opportunity to cast their votes through ballot paper during the AGM.
The Company had appointed M/s. Avinash Gandhewar & Associates as Scrutinizer for
scrutinizing the voting process and submitting the Scrutinizer’s Report.
6. FINANCIAL PERFORMANCE FOR FY 2025-26:
Thereafter, Mr. Swapan Khandelwal, Whole-Time Director, addressed the Members and
presented the financial performance and key financial highlights of the Company for the
financial year 2025-26.
The Members were informed that the Company’s Revenue from Operations and Other Income
increased from ₹2,805.57 lakhs in FY 2024-25 to ₹3,119.88 lakhs in FY 2025-26.
The Profit Before Tax increased from ₹385.84 lakhs to ₹538.54 lakhs, while Profit After Tax
increased from ₹283.43 lakhs to ₹411.71 lakhs. The Earnings Per Share also improved from
₹4.11 to ₹5.97.
The Whole-Time Director further apprised the Members about the Company’s business model,
operational focus and priorities for FY 2026-27, including expansion of the customer base,
strengthening of market presence, improvement in operational capabilities, adoption of
technology, process optimisation and pursuit of sustainable and profitable growth.
7. BUSINESS JOURNEY, MARKET INSIGHTS AND FUTURE OUTLOOK:
Thereafter, Mr. Prashant Karkare, Executive Director, addressed the Members and shared his
perspective on the Company’s journey from market insights to market leadership.
He apprised the Members about the competitive and evolving pharmaceutical market, the
Company’s focus on strengthening its product portfolio, improving engagement with the
medical fraternity, expanding geographical presence and strengthening its sales and marketing
capabilities.
He further stated that the Company would focus on developing meaningful and sustainable
brands and exploring opportunities in specialty and super-specialty segments.
The Members were also informed that the successful listing of the Company on the BSE SME
Platform marked the beginning of a new phase of growth and greater responsibility towards all
stakeholders.
8. ADDRESS BY THE CHAIRMAN & MANAGING DIRECTOR
Thereafter, Mr. Amol Mujumdar, Chairman & Managing Director, addressed the Members.
The Chairman & Managing Director welcomed the Members and expressed his appreciation
for their continued trust and confidence in the Company.
He highlighted the Company’s journey, its foundation in pharmaceutical expertise, customer
relationships, quality products and long-term growth, and acknowledged the contribution of
employees, customers, business partners, advisors, associates and shareholders.
He further stated that the successful listing of the Company had strengthened its financial
foundation and enhanced its visibility in the capital markets.
The Chairman & Managing Director reiterated the Company’s commitment to transparency,
corporate governance, regulatory compliance, responsible financial management and
sustainable value creation.
He thereafter placed before the Members the agenda items forming part of the 22nd AGM.
9. BUSINESS ITEMS / AGENDA
The following items of business were placed before the Members for their consideration and
approval:
ORDINARY BUSINESS
Item No. 1 – Adoption of Financial Statements
To receive, consider and adopt the Standalone Audited Balance Sheet as at 31st March 2026,
the Statement of Profit and Loss for the financial year ended on that date, the Cash Flow
Statement, together with the Auditors’ Report and Directors’ Report thereon.
Item No. 2 – Declaration of Dividend
To declare dividend of ₹12/- per preference share of face value of ₹100/- each for the financial
year 2025-26.
Item No. 3 – Re-appointment of Director
To re-appoint Mr. Prashan
