Respected Sir/ Madam, This is further to our earlier communication dated 19th June, 2026, wherein, it was informed that GSPL Transmission Limited in consultation with the Company has fixed Thursday, 2nd July, 2026 as the Record Date 3 for the purpose of determining the Eligible Shareholders (as defined in the Scheme) of the Company to whom Equity Shares of Resulting Company will be allotted in accordance with the Share Exchange Ratio prescribed under the Scheme. We would like to inform you that GTL (Resulting Company), through its letter dated 8th July, 2026 (enclosed as Annexure - I), has informed the Company the following: 1. The Board of Directors of GTL has on 8th July, 2026 approved allotment of 31,27,43,617 (Thirty-One Crores Twenty-Seven Lacs Forty-Three Thousand Six Hundred and Seventeen Only) No. of Equity Shares of face value of ₹ 10/- (Rupees Ten) each of the Resulting Company to the Equity Shareholders of the Company holding Equity Shares as on the Record Date i.e., 2nd July, 2026, pursuant to the Scheme. 2. GTL will make necessary application(s) for the purpose of listing of Equity Shares and such Shares shall remain frozen in the depository system till the time, listing/trading permission is granted by the Stock Exchanges i.e. NSE and BSE.
