CS Srividya Damodaran, Company Secretary IV. CA Senthil Kumar Nallamuthu, Chief Financial Officer Meeting commenced with a prayer. The Company Secretary welcomed the Members to the Meeting. Mr. Tom Jose, Chairman of the Company chaired the AGM. The requisite quorum being present, the Chairman called the Meeting to order. The Company Secretary placed on record the demise of Mr. A. P. George, former Managing Director and promoter director of the Company, on 7th January 2026. His association with the Company spanned over six decades and left an enduring legacy in its growth and governance. A moment of silence was observed by the Members present, and condolences were extended to his family. With the consent of the Members, the Notice of the Meeting was taken as read. The Members were informed that the Statutory Auditors' Report and Secretarial Audit Report did not have any qualifications and hence, pursuant to Section 145 of the Companies Act, 2013, the same were not required to be read. Mr. Tom Jose IAS, The Chairman, in his address, presented the performance of the Company for FY 2025–26, highlighting a Revenue from Operations of Rs.1,680.48 crore, EBITDA of Rs.124.65 crore, Profit Before Tax of Rs.114.07 crore, Profit After Tax of Rs.84.04 crore, and EPS of Rs.26.26 on post sub-division equity capital. He noted that the Net Worth grew to Rs.349.50 crore. The Animal Feed Division maintained its market position despite raw material volatility and cattle population declines in Kerala, driven by market share expansion in Tamil Nadu and Karnataka, and healthy volume growth in Poultry Feed, with plans to expand into Maharashtra. The Oil Cake Processing Division saw growth in refined coconut oil sales while retaining its national leadership position in coconut oil cake processing. The Dairy Division continued strengthening its presence through the Vesta brand. He highlighted investments in plant modernization, warehouse infrastructure, process automation, digital transformation, and energy efficiency, along with potential plans to diversify into the bio-waste management sector. He announced a final dividend of Rs.7.50 per share (face value Rs.1), which together with the interim dividend of Rs.5 per share already paid, brings the total dividend for FY 2025–26 to Rs.12.50 per share, aggregating to a total payout of Rs.40 crore. The Company Secretary then explained the Members of process of casting the voting during the AGM. Then, the Company Secretary requested the Shareholders attending the Meeting and who has not casted their vote earlier through remote e-voting, to cast their vote through venue e-voting facility provided during the AGM. Mr. Dony Akkarakaran George, Managing Director, also addressed the Meeting. He stated that FY 2025–26 was marked by significant operating pressures, including raw material price volatility, changing market conditions and intense competition. He informed the Members that the Company achieved Revenue from Operations of Rs.1,680.48 crore, EBITDA of Rs.124.65 crore, Profit Before Tax of Rs.114.07 crore and Profit After Tax of Rs.84.04 crore.
