SUMMARY OF PROCEEDINGS OF THE 10th ANNUAL GENERAL MEETING OF THE COMPANY
The 10th Annual General Meeting (AGM) of the members of Kotyark Industries Limited (“the Company”) was held on
Saturday, August 22, 2026 at 11:40 A.M. through two-way video conferencing (“VC”) via Microsoft Teams Platform.
The Meeting was conducted in accordance with relevant Circulars issued by the Ministry Corporate Affairs („MCA‟) and
the Securities and Exchange Board of India („SEBI‟) in this regard.
The meeting commenced at 11:40 A.M.
Mr. Gaurang Rameshchandra Shah, Chairman cum Managing Director of the Company chaired the meeting.
The following Directors and Key Managerial Personnel attended the meeting via VC:

Further, Authorised Representatives of the Internal Auditor – M/s. Ravi Shah & Co., Statutory Auditor – M/s. Manubhai
& Shah LLP, Secretarial Auditor –M/s. Mittal V Kothari & Associates and Scrutinizer –M/s. SCS & Co. LLP were also
present.
Mr. Bhavesh Nagar, Company Secretary and Compliance Officer of the company conducted proceeding of Annual
General Meeting. Firstly, on behalf of the Chairman, he welcomed the Shareholders, Directors, Auditors and Other
Dignitaries of the Company and informed them, that the Meeting is held through VC/ OAVM.
The requisite quorum being present and with the permission of the Chairman, the Company Secretary called the Meeting
to be in order.
Following this, he requested all the directors present to introduce themselves. Subsequently, the directors who joined the
meeting via video conferencing ('VC') introduced themselves one by one.
The Shareholders were also informed that:
This 10th Annual General Meeting is being held through video conferencing in accordance with the circulars issued
by the Ministry of Corporate Affairs and SEBI.
As the AGM is being held through video conferencing, the facility for appointment of proxies was not applicable
All Members who have joined the meeting have been placed on mute mode to avoid any disturbance and to ensure
an orderly conduct of the meeting.
All documents referred to in the Notice along with the Statutory Registers maintained by the Company as per the
Companies Act, 2013 are available for electronic inspection. Members seeking to inspect such documents can send
an email at info@kotyark.com.
The Board of Directors have appointed M/s. SCS And CO. LLP, as Scrutinizer to scrutinize the votes casted during
the meeting and the votes casted through remote e- voting platform of National Securities Depository Limited.
The results will be declared after receiving of Scrutinizer report at the earliest within 2 working days after the
meeting. The results will also be available on website of the Company.
The Notice dated July 30, 2026, convening this 10th Annual General Meeting, along with the Annual Report
containing the Board's Report and the Standalone and Consolidated Financial Statements for the financial year
ended March 31, 2026, has already been circulated electronically to the Members.
For Members whose e-mail addresses were not registered, a letter containing the web-link to access the Annual
Report was dispatched. The Annual Report is also available on the Company's website.
The Company Secretary then took the Annual Report as read with the permission of the Members and requested the
Chairman, Mr. Gaurang Rameshchandra Shah, to share the overall performance and outlook of the Company for the
financial year 2025-26.
Mr. Gaurang Rameshchandra Shah extended a warm welcome to the Members, fellow Directors, Auditors and officials
present at the meeting. He stated that FY 2025-26 was a year in which the Company expanded its production capacity,
strengthened its business and prepared Kotyark for its next phase of growth, and that this performance was achieved even
while capacity utilisation remained at a relatively low level, indicating further headroom for growth through better
utilisation of existing capacity. He noted that the opportunity in the biodiesel sector remains significant, supported by
India‟s energy transition, the National Policy on Biofuels and procurement initiatives of Oil Marketing Companies
(“OMCs”), and that the Company‟s business model – based on waste and non-edible feedstock such as used cooking oil,
acid oils and non-edible vegetable oils – and its Zero Effluent Discharge model, under which the Company has also
earned 57,874 Carbon Credits, positions it well for this opportunity.
He further informed the Members about the Company‟s focus on by-products, particularly Glycerine, through a dedicated
Glycerine Processing Unit set up at Sirohi, opening opportunities in the pharmaceutical, food, personal care and other
industrial sectors. He highlighted key technical achievements during FY 2025-26, including testing and durability trials
of B20 and B30 biodiesel blends through the Automotive Research Association of India (ARAI), ISO 9001:2015
certification for the Company‟s quality management system covering manufacture and supply of Bio Diesel and Crude
Glycerine, and receipt of Letters of Intent (LOIs) aggregating approximately ₹223.53 crore during the year. He outlined
the Company‟s priorities for FY 2026-27, namely increasing capacity utilisation to 60-70% over the next two to three
years and broadening the customer base across OMC, industrial, and bulk channels, and informed the Members that the
Company has recently received an OMC order of approximately ₹173.45 crore in FY 2026-27.
Further, the Company Secretary, Bhavesh Nagar, requested Mrs. Bhavini Gaurang Shah, Non-Executive Director, to
brief the Members on the overview of the Company.
Mrs. Bhavini Gaurang Shah informed the shareholders about certain key milestones achieved during the year. She stated
that one of the significant milestones was the migration of the Company‟s equity shares from the SME platform to the
Main Board of NSE and BSE with effect from March 12, 2026, which she described as an important step in the
Company‟s institutional growth, entailing increased responsibilities towards shareholders and other stakeholders and a
continued commitment to strengthening governance, transparency and institutional practices. She informed the Members
that Mr. Gaurang Rameshchandra Shah, Chairman cum Managing Director, was conferred the Certificate of Excellence
by the World Book of Records, London, at a ceremony held at the House of Commons, UK Parliament, Palace of
Westminster, London, on June 26, 2026, in recognition of his contribution to the renewable energy sect
