The remote e-voting period will commence on Friday, 18th September, 2026 at 09:00 a.m. (IST) and will end on Sunday, 20th September, 2026 at 05:00 p.m. (IST). The Cut-off Date for determining the eligibility of Members to vote through remote e-voting or e-voting during the AGM is Monday, 14th September, 2026. The said Notice also forms part of the Annual Report of the Company for the financial year 2025- 26, which is being submitted separately to the Stock Exchanges. Thanking you, Yours faithfully, For Transformers and Rectifiers (India) Limited Rakesh Kiri Company Secretary Notice NOTICE Notice is hereby given that the 32nd Annual General Meeting of the members of Transformers and Rectifiers (India) Limited will be held on Monday, 21s t day of September, 2026 at 11:00 a.m. through Video Conferencing (“VC”) / Other Audio Visual Means (“OAVM”), to transact the following business: ORDINARY BUSINESS: Resolution No. 1: Adoption of Financial Statements To consider and adopt: a) The audited financial statement of the Company for the financial year ended 31st March, 2026, the reports of the Board of Directors and Auditors thereon; and b) The audited consolidated financial statement of the Company for the financial year ended 31st March, 2026 and the report of Auditors thereon and, in this regard, to consider and if thought fit, to pass the following resolutions as Ordinary Resolutions: a) “RESOLVED THAT the audited financial statement of the Company for the financial year ended 31st March, 2026 and the reports of the Board of Directors and Auditors thereon, as circulated to the Members, be and are hereby considered and adopted.” b) “RESOLVED THAT the audited consolidated financial statement of the Company for the financial year ended 31st March, 2026 and the report of Auditors thereon, as circulated to the Members, be and are hereby considered and adopted.” Resolution No. 2: Dividend To declare a dividend on equity shares for the financial year ended 31st March 2026 and, in this regard, to consider and if thought fit, to pass the following resolution as an Ordinary Resolution: “RESOLVED THAT in terms of the recommendation of the Board of Directors of the Company, the approval of the Members of the Company be and is hereby granted for payment of dividend @ 25% (i.e. `0.25/- per share) on 30,01,65,834 Equity Shares of `1/- each fully paid up for the year ended 31st March, 2026 and the same be paid out of the profits of the Company.” Resolution No. 3: Appointment of Mr. Satyen J.
