Dear Shareholders,
It gives me great pleasure to present to you the 34th Annual Report of ARCL Organics Limited for the financial year
2025–26.
The year under review was characterized by a dynamic operating environment, evolving market conditions and
continued changes across the global economic landscape. Against this backdrop, our focus remained firmly anchored
in strengthening our fundamentals, serving our customers with consistency and building capabilities for sustainable
growth.
At ARCL, we believe that enduring businesses are built through a combination of strong fundamentals, disciplined
execution and a clear understanding of the markets we serve. During the year, we continued to remain focused on
operational efficiency, product quality, customer relationships and responsible business practices.
Our journey is not measured merely by the performance of one financial year — it is reflected in
the resilience of our operations, the trust of our customers, the commitment of our employees,
and the confidence of our shareholders.
As we move forward, we remain committed to strengthening our core capabilities while identifying opportunities that
can create sustainable and long-term value for all our stakeholders.
During FY 2025–26, we also took meaningful steps towards strengthening our manufacturing footprint. The
acquisition of the existing running unit of Vishvam Formalin and Angel Resins at Kadadra, Gandhinagar, Gujarat has
added 49,500 TPA of Formaldehyde and around 60,000 TPA of Resins. This unit already has environment clearance
for Paraformaldehyde and Hexamine as well, which will help us eventually in doubling our existing turnover.
RESOLUTION OF KEY LEGAL, TAX AND REGULATORY MATTERS
During the year and in the period thereafter, the Company achieved closure on several long-standing legal, tax and
regulatory matters, reflecting our continued focus on resolving legacy liabilities and strengthening our compliance
framework:
Customs Dues Settlement
A long-pending customs dues dispute of approximately ₹5.10 crore, arising from our pre-amalgamation entity Allied Resins
& Chemicals Ltd, was settled with the Principal Commissioner of Customs, through an upfront payment of approximately
₹2.74 crore and the balance in 24 monthly instalments, bringing full and final closure to the matter.
Income Tax Settlement
Legacy income tax arrears of approximately ₹5.29 crore, pertaining to the block period 1988–1998, were settled under the
Vivad Se Vishwas 2.0 Scheme, resolving a matter that had remained outstanding for several years.
Municipal Tax Settlement
Outstanding municipal tax dues of approximately ₹4.40 crore were also settled during the year after withdrawing the long-
pending litigation at Calcutta High Court.
We wish to clarify that while these one-time settlements were recorded as exceptional, non-recurring charges during
the year and had a bearing on our reported net profit, the Company's underlying operating performance remained
healthy, with year-on-year growth in Total Income, EBITDA and Profit Before Tax, as set out below.

“Adjusted, excl. one-time items” add back an estimated ₹6 crore of one-time, non-recurring settlement charges relating to the legacy income
tax, customs and municipal tax matters, to indicate underlying operating performance had these exceptional items not arisen.
Another remarkable achievement during FY 2025–26 was that our exports crossed the ₹100 crore mark, and we
expect to do much more in the current year.
FUTURE OUTLOOK — NEW BUSINESS VERTICALS
With regard to future outlook, our Company is unceasingly working on the following new business verticals with in-
depth R&D, seed marketing and new applications:
• Feed Additives
• RTU (Ready to Use Glue)
• Laminate Resins
• Rubber and Tyre Chemicals
• Resins for Paper Packaging and Corrugated Boxes
The benefit of the above will be available in the near future.
