Dear Stakeholders,
On behalf of the Board of Directors, I extend my warm greetings and sincere gratitude to our shareholders, customers, employees, business
partners, and all other stakeholders for their continued trust, confidence, and support.
It gives me great pleasure to present the Annual Report and Audited Financial Statements of your Company for the Financial Year ended
31st March, 2026.
The year under review marks an important phase in the Company’s journey. Following the implementation of the approved scheme of
Compromise and Arrangement (Approved Scheme/Resolution Plan) framework and the transition towards a new management and
operational structure, the Company has been focused on restoring its manufacturing capabilities, strengthening its operational foundation
and laying the groundwork for sustainable and profitable growth.
The revival of a manufacturing enterprise after a prolonged period of financial and operational challenges is a complex and gradual
process. We recognise that the journey ahead requires disciplined execution, prudent capital allocation, operational efficiency and, above
all, sustained confidence of our stakeholders. We have therefore approached the year with a clear objective: to rebuild the Company on
stronger, more sustainable and commercially viable foundations.
RESTARTING OPERATIONS AND REBUILDING THE BUSINESS
One of the most significant developments during the year was the progressive revival of manufacturing operations at our Malkapur Unit
facility in Maharashtra. The Company has undertaken substantial efforts towards restoration, refurbishment and modernisation of plant
and machinery and associated infrastructure.
The Company has recommenced production and sales activities and has progressively increased utilisation of its available manufacturing
capacity. During the year, the Company recorded an encouraging improvement in operating activity, reflecting the initial benefits of the
revival programme. The Company’s manufacturing facilities at Malkapur Unit have historically provided a strong foundation for its presence
in the textile value chain.
The revival of these facilities is therefore not merely a restoration of physical assets; it represents the rebuilding of an operating platform
capable of generating employment, serving customers and creating long-term value for stakeholders.
PERFORMANCE DURING FY 2025-26
The financial year 2025-26 was principally a transition and rebuilding year for the Company. Accordingly, the financial performance
needs to be viewed in the context of the gradual recommencement of operations and the significant efforts undertaken towards restoration
of the manufacturing infrastructure.
During the year, the Company progressively scaled up production and sales. The audited financial results for the quarter ended March 31,
2026 reflected total revenue of approximately ₹15.07 crore, compared with ₹13.26 crore in the preceding quarter, indicating continued
improvement in operating activity.
While the Company continues to report losses during the rebuilding phase, the sequential improvement in operating performance provides
a basis for cautious optimism. Management remains focused on improving capacity utilisation, product mix, operational efficiency and
contribution margins with the objective of moving towards sustainable profitability.
TEXTILE INDUSTRY OUTLOOK
The Indian textile industry continues to occupy an important position in the country’s manufacturing and employment ecosystem. India’s
established raw-material base, manufacturing capabilities, large domestic market and increasing integration with global textile supply
chains provide meaningful long-term opportunities for companies that are able to compete on quality, cost, delivery and innovation.
At the same time, the textile sector remains exposed to fluctuations in cotton and other raw-material prices, foreign exchange movements,
energy costs, international demand, competition from global manufacturing centres and changes in trade policies.
We believe that the Company’s ability to respond to these factors through operational flexibility, product diversification and cost discipline
will be critical to its future performance.

As a listed company, we recognise that sustainable revival must be accompanied by strong corporate governance, transparency and
regulatory compliance. The Board and management remain committed to maintaining appropriate standards of governance and ensuring
timely and transparent communication with shareholders, regulators, stock exchanges, lenders, employees, customers and other
stakeholders.
The Company has also continued to strengthen its compliance and reporting framework during the transition period. Our objective is to
build an organisation where governance and operational discipline are embedded into the manner in which the business is conducted.

patience during this important phase of the Company’s journey.
