Ref: MHL/Sec&Legal/2026-27/43 August 27, 2026 BSE Limited National Stock Exchange of India Limited Scrip Code: 542650 Scrip Symbol: METROPOLIS Dear Sir/Madam, Sub: Disclosure under Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“SEBI Listing Regulations”) In continuation to our earlier intimations dated February 04, 2026 and August 04, 2026, we wish to inform you that the Company has, effective August 27, 2026, transferred its External Quality Assessment Services Business Division (“EQAS Division”) to Metropolis Quality Solutions Private Limited (“MQSPL”), subsidiary of the Company, as a going concern on a slump sale basis, for a consideration of INR 1.25 crore, which has been discharged by way of issuance of equity shares of MQSPL to the Company, in accordance with the agreed terms under the Business Transfer Agreement (“BTA”). Accordingly, effective August 27, 2026, the operations relating to the EQAS Division are being carried out by MQSPL. You are requested to take the above information on record.
