The said investor has expressed interest in acquiring a majority stake in the Company through purchase of shares held by the promoters as well as the single largest shareholder, thereby facilitating their complete exit. In addition, the investor has proposed infusion of funds through the primary route to strengthen the balance sheet, subject to requisite approvals. Further, pursuant to the recommendation of the potential investor, two Independent Directors have already been appointed to the Board. The process of further strengthening the Board, including induction of Executive Directors, shall continue in due course, subject to necessary approvals. These measures are expected to result in new ownership, a complete transition of the existing promoters and the current single largest shareholder, and are being undertaken with the objective of safeguarding stakeholder value and ensuring revival of the Company.
