Subject: Disclosure pursuant to Regulation 30 of the SEBI LODR Regulations
1. Pursuant to Regulation 30 of the Securities and Exchange Board of India (Listing
Obligations and Disclosure Requirements) Regulations, 2015 (“SEBI LODR Regulations”), we
would like to inform that, Cochin Shipyard Limited has received Notices from the stock
exchanges imposing fine for non-compliance with SEBI LODR Regulations, the details of
which are given below:
i. Na me of the authority BSE Limited (“BSE”); and
National Stock Exchange of India Limited (“NSE”).
ii. Na ture and details of the Imposition of fine of Rs. 9,66,420 each (incl. GST
action(s) taken or order(s) @18%) pursuant to Chapter VII: Penal Actions for
passed Non-Compliance of SEBI Master Circular No.
HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated
January 30, 2026.
iii. Da te of receipt of direction or BSE: through E-mail on August 25, 2026 at 19:07 Hrs.
order, including any ad-interim NSE: through E-mail on August 25, 2026 at 21:53
or interim orders, or any other Hrs. (The E-mail was received after office hours on
communication from the August 25, 2026. Further, August 26, 2026 was a
authority holiday for the Company on account of Onam.
Accordingly, the Company became aware of the
imposition of the fine only on August 27, 2026).
iv. De tails of the violation(s)/ Non-compliance with Regulation 17(1) (Composition
contravention(s) committed or of Board of Directors – absence of sufficient number
alleged to be committed of Independent Directors), and Regulations 18 and
19 (Non-compliance with the constitution of audit
committee and nomination and remuneration
committee) of the SEBI LODR Regulations during
the quarter ended June 30, 2026.
v. Im pact on financial, operation Nil except to the extent of fines imposed, for which

2. Kindly note that Cochin Shipyard Limited (“CSL”) is a Central Public Sector Enterprise
under the administrative control of the Ministry of Ports, Shipping and Waterways, Government
of India. Accordingly, the power to appoint Directors on the Board of the Company vests with
the Government of India. The Company has forwarded necessary requests to the Government
of India for appointing sufficient number of Independent Directors and has been consistently
following up on the same. Consequently, the Ministry of Ports, Shipping and Waterways,
Government of India vide their letter No. SY-11012/1/2016-CSL dated August 17, 2026,
appointed Dr. Vani Ahluwalia (DIN: 11754971) as a Non-official (Independent) Director on the
Board of CSL. Pursuant to her appointment, the audit committee and the nomination and
remuneration committee were duly constituted in line with the SEBI LODR Regulations. The
Company continues to make all necessary and sustained efforts to ensure compliance with
the applicable regulatory requirements relating to the appointment of the requisite number of
Independent Directors on its Board.
3. In view of the fact that the said non-compliances were neither due to the negligence/
default by the Company nor within the control of the management of the Company, appropriate
requests for waiver of fines imposed will be filed with the stock exchanges in due course as
per the extant Policy for Exemption of Fines.
