Dear Sir/Madam,
We hereby inform that the Company has allotted 4,11,000 Equity shares (Four Lakh Eleven Thousand) of
face value of ₹10/- each on August 26, 2026 under Niva Bupa Employee Stock Option Plan 2020 (‘ESOP
Scheme 2020’) and Niva Bupa Employee Stock Option Plan 2024 (‘ESOP Scheme 2024’), upon exercise of
options by eligible grantees.
The allotment under the respective scheme(s) are made in the following manner:
a) ESOP Scheme 2020- 1,92,100 Equity shares;
b) ESOP Scheme 2024- 2,18,900 Equity shares.
The said Equity shares shall rank pari-passu with the existing equity shares of the Company in all respect.
The above allotment has been approved by the Stakeholders Relationship Committee of the Board of
Directors of the Company today i.e. August 26, 2026.
Consequent to the aforesaid allotment, the paid-up equity share capital of the Company stands increased
to ₹18,49,64,47,030/- (Rupees One Thousand Eight Hundred Forty-Nine Crore Sixty-Four Lakh Forty-
Seven Thousand Thirty only) comprising 1,84,96,44,703 Equity Shares of face value of ₹ 10/- each.
