Page 7 of 130 CHAIRMAN AND MD’s MESSAGE Dear Shareholders, It gives me immense pleasure to present to you the Annual Report of Neptune Logitek Limited for the financial year 2025–26. This year has been a period of resilience, disciplined execution, and continued commitment to creating sustainable value for our stakeholders. During the year under review, the Company recorded Income from Operations of Rs. 23,371.10 lakhs, compared with Rs. 25,725.39 lakhs in the previous financial year. Total Income stood at Rs. 23,522.18 lakhs, as against Rs. 26,074.41 lakhs in FY 2024–25. While the overall operating environment remained challenging, our focus on operational discipline, prudent financial management, and strengthening our business fundamentals enabled us to maintain profitability. The Company achieved a Profit Before Tax of Rs. 995.27 lakhs, compared with Rs. 983.77 lakhs in the previous year. After providing for tax expenses of Rs. 366.43 lakhs, the Company reported a Net Profit of Rs. 628.84 lakhs for FY 2025–26, compared with Rs. 667.05 lakhs in FY 2024–25. The Basic Earnings Per Share stood at Rs. 4.59, reflecting the Company’s continued focus on maintaining a sound financial foundation and delivering long-term value to shareholders. The performance achieved during the year is a reflection of the dedication of our employees, the confidence of our customers and business partners, the guidance of our Board, and, most importantly, the continued trust and support of our shareholders. The business environment continues to evolve rapidly, bringing both opportunities and challenges. In such an environment, we remain focused on improving operational efficiency, strengthening our capabilities, adopting appropriate technology, and responding proactively to changing market requirements. Our resilience and disciplined approach will continue to guide us as we work towards building a stronger and more sustainable business. Financial Performance Company’s Performance The Company continued its positive growth trajectory during the financial year 2025-26, while maintaining a strong financial position and delivering healthy profitability. Revenue from Operations stood at Rs. 23,371.10 Lakhs as compared to Rs. 25,725.39 Lakhs in the previous financial year 2024-25. Other Income stood at Rs. 151.07 Lakhs as compared to Rs. 349.02 Lakhs in FY 2024-25. Accordingly, Total Revenue stood at Rs. 23,522.18 Lakhs as against Rs. 26,074.41 Lakhs in the previous financial year. Total Expenses for the year amounted to Rs. 22,539.40 Lakhs, compared to Rs. 24,760.00 Lakhs in the previous year, representing a reduction of 8.97%. The decrease in expenses was primarily supported by lower Other Expenses and reduced depreciation and finance costs. Consequently, Profit Before Exceptional Items and Tax stood at Rs. 982.77 Lakhs as compared to Rs. 1,314.42 Lakhs in FY 2024-25. After accounting for an Exceptional Item of Rs. 12.50 Lakhs as compared to Rs. 330.65 Lakhs in the previous year, the Profit Before Tax stood at Rs. 995.27 Lakhs as against Rs. 983.77 Lakhs in FY 2024-25. After accounting for total tax expenses of Rs. 366.43 Lakhs, comprising Current Tax of Rs. 102.28 Lakhs, Deferred Tax of Rs. 218.54 Lakhs and Earlier Year Tax of Rs. 45.61 Lakhs, the Net Profit for the year stood at Rs. 628.84 Lakhs as compared to Rs. 667.05 Lakhs in the previous financial year. Furthermore, the Earnings Per Share (Basic/Diluted) stood at Rs. 4.59 as compared to Rs. 6.67 in FY 2024-25. The change in EPS is also influenced by the increase in the number of equity shares outstanding from 1,00,00,000 shares to 1,37,00,000 shares during the year.
