Dear Madam/Sir,
Pursuant to Regulation 30 read with Schedule III of the SEBI (LODR)
Regulations, 2015 (LODR Regulations’) and SEBI Circular No.
SEBI/HO/CFD/CFD -PoD -1/P/CIR/2023/123 dated July 13, 2023, this is to
inform that the Company has received communication via e -mails dated
August 25, 2026, from BSE Limited (‘BSE’) and National Sto ck Exchange of
India Limited (‘NSE’) imposing fine s for non -compliance /delayed compliance
with Regulations 17(1) and 17(1A) of the SEBI (LODR) Regulations for the quarter
ended June 30, 2026.
In this regard, the Company would like to clarify that in order to comply with
Regulation 17(1) of the LODR Regulations, a new Independent Director was
inducted on the Board w.e.f. July 15, 2026.
Compliance under regulation 17(1A) of the LODR Regulations was duly rectified
and complied and made good on May 29, 2026.
The Company hereby confirms that, as on date, the Company is fully compliant
with the applicable provisions of Regulation 17(1) and 17(1A) of the SEBI (LODR)
Regulations, 2015.
The details as required under Regulation 30 of the SEBI (LODR) Regulations,
2015 are enclosed herewith as Annexure A .
