The Board of Directors in their meeting held today i.e. on 26th August, 2026 have considered and approved the alteration in the Memorandum of Association of the Company, subject to the approval of members. Please find below the details of the same as per Regulation 30 and Schedule III of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with SEBI Master Circular HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated 30th January, 2026: New object shall be inserted in the Main Object Clause of the Memorandum of Association of the Company by inserting Clause no. III [A] (8) as under: 8. To purchase, develop, construct, erect, acquire, equip, operate, maintain, manage or in any other manner and in all its aspects deal in hotels, resorts, motels, clubs, tourism centres, restaurant, conventions, wayside, amenities or the sectors related to the same, guest houses of every kind and sort including all the conveniences, amenities and facilities adjunct thereto, and business of day-care centres, adult day-care centres, senior citizen care centres, rehabilitation centres, service apartment, recovery and convalescence centres, wellness centres, health and fitness centres, spas, therapeutic and recreational facilities, holiday homes, villas, lodges, guest houses, homestays, restaurants, cafes, bars, clubs, lounges, banquet halls, convention and exhibition centres, food courts and catering establishments and provide all manners of amusements, recreation, sport and entertainments for the public and make tie-up with hotel chains, hospitality chains and eating houses chains in India and abroad.
