Disclosure under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements)
Regulations, 2015
In continuation of our (a) announcement dated July 2, 2025 concerning the arbitration between the Company and
Kleros Capital Partners Limited (‘Kleros’), and (b) announcement in the Notes to the Company’s consolidated financial
results for Q2FY26 dated November 11, 2025, we wish to inform you of further developments on this litigation/dispute.
This disclosure is in compliance with Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements)
Regulations, 2015, as amended, read with SEBI Master Circular HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated
January 30, 2026. The details are provided below:
Sr. Particulars Details
a) The details of any change in the status and / or The Singapore International Commercial Court has
any development in relation to such proceedings issued its judgment on August 26, 2026, which arose out
of challenge filed by the Company to the arbitral awards
dated July 1, 2025 and August 27, 2025 in the arbitration
proceedings which were initiated by Kleros against the
Company on November 30, 2020. The Company had
also challenged Singapore International Arbitration
Centre (SIAC) Court’s decision dated June 5, 2025
rejecting the Company’s challenge to the appointment of
two arbitrators who issued the majority arbitral award.
The Singapore International Commercial Court has
dismissed the Company’s challenge holding that there
was no breach of natural justice or the fair hearing rule
by the majority in arriving at the final award.
The Company has 28 days from August 26, 2026 to
appeal the decision of the Singapore International
Commercial Court to the Singapore Court of Appeal. The
Company will be filing an appeal against the decision of
the Singapore International Commercial Court within this
time period.
