In terms of Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements)
Regulations, 2015 (SEBI LODR) and SEBI Circular No. SEBI/HO/CFD/PoD2/CIR/P/0155
dated November 11, 2024, we write to inform that the Company has received mail from
BSE Limited (BSE) and National Stock of Exchange of India Limited (NSE) vide email dated
25.08.2026, for non-compliance with the provisions of Regulation 17(1),17(2A),18(1),
19(1)/19(2), 20(2)/(2A) and 21(2) of SEBI (LODR) Regulations, 2015 pertaining to
Composition of the Board of Directors, Quorum of Board Meetings and Composition of the
Committees viz. Audit Committee, Nomination and Remuneration Committee, Stakeholders
Relationship Committee and Risk Management Committee including failure to appoint Women
Director.
The NSE and BSE have imposed a fine of Rs.14,31,340/- (including GST) each, for the
aforesaid non - compliance. There is no impact on operations or other activities of the
Company due to imposition of the aforesaid fines and total financial implication is limited to
fines imposed by BSE and NSE, i.e. Rs.14,31,340/- each.
In response to the aforesaid notices, the Company vide letter dated 26.08.2026 has requested
BSE & NSE to grant waiver of the fines imposed in relation to non – compliance of the
aforementioned Regulations of SEBI LODR on the following grounds:-
i. Being a Government Company, the power to appoint Directors on the Board of Directors of
the Company vests with the President of India.
ii. In order to comply with the provisions of SEBI (LODR) Regulations, 2015, the Ministry of
Coal (MoC), Administrative Ministry, is being periodically apprised with regard to the
requirement of appointing requisite number of Independent Directors on the Board of the
Company.
The non - compliance with respect to the aforementioned Regulation was neither attributable
to any negligence / default on the part of the Company nor within the control of Company’s
management.
