No.: 22787 PROCEEDINGS OF THE 91ST ANNUAL GENERAL MEETING OF DHAMPUR SUGAR MILLS LIMITED HELD ON WEDNESDAY, 26TH AUGUST, 2026 THROUGH TWO-WAY VIDEO CONFERENCING (“VC”)/OTHER AUDIO-VISUAL MEANS (“OAVM”) AT 03:00 P.M. (IST) The 91st Annual General Meeting (“AGM”) of the Members of the Company was duly convened and held on Wednesday, 26th August, 2026 at 03:00 P.M. (IST) through Video Conferencing (“VC”)/Other Audio-Visual Means (“OAVM”) in accordance with General Circular No. 03/2025 dated 22nd September, 2025 issued by the Ministry of Corporate Affairs (“MCA Circulars”) and circular issued by SEBI vide circular no. SEBI/HO/CFD/CFDPoD-2/P/CIR/2024/133 dated 3rd October, 2024 (“SEBI Circular”) and other applicable circulars and notifications issued from time to time. Ms. Aparna Goel, Company Secretary and Compliance Officer, welcomed the Shareholders, Directors and other participants present at the meeting. She introduced the Chairman, Vice Chairman and Managing Director, other Directors, Chief Financial Officer and other Company officials who had joined the meeting from their respective locations. All the Directors, including the respective Chairpersons of the Audit Committee, Risk Management Committee and Corporate Social Responsibility Committee of the Company, were present at the AGM. Mr. Akshay Kumar Gupta and Mr. Ajay Kumar Rastogi, representatives of M/s Mittal Gupta & Co., and Mr. Hitesh Garg and Mr. Rajat Bansal, representatives of M/s T R Chadha & Co. LLP, Joint Statutory Auditors of the Company, were also present through Video Conferencing. Mr. Saket Sharma, Partner of M/s GSK & Associates, Company Secretaries, representing the Secretarial Auditors of the Company and appointed as the Scrutinizer to scrutinize the voting process at the AGM in a fair and transparent manner, was also present through Video Conferencing. It was informed that, in compliance with the provisions of the Companies Act, 2013, Secretarial Standard – 2 and SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the remote e-voting facility was made available to the shareholders through NSDL from Saturday, 22nd August, 2026 at 09:00 A.M. (IST) to Tuesday, 25th August, 2026 at 05:00 P.M. (IST). It was further informed that:  the Members attending the AGM who had not already cast their votes through remote e-voting would be able to exercise their voting rights at the AGM through the e-voting facility. The Members who had cast their votes through remote e-voting prior to the AGM were eligible to attend the AGM but were not entitled to cast their votes again;  all the documents referred to in the Notice and the Explanatory Statement were available electronically for inspection by the Members during the AGM; and  the Statutory Registers and other documents referred to in the Notice and Explanatory Statement were available electronically for inspection during the AGM. A total of 91 shareholders attended the meeting. After ascertaining the requisite quorum, Mr. Ashok Kumar Goel, Chairman, called the meeting to order and extended a warm welcome to the Members present. He briefed the Members about the major developments and the Company’s performance during the Financial Year 2025-26. He apprised the Members of the major events during the year, including the increase in the State Advised Price of sugarcane and changes in the levy molasses obligation. He also briefed the Members about the Company’s operational performance, including its continued focus on improving sugarcane quality through a shift in varietal mix, yield improvement and advanced agronomy practices. He further highlighted the Company’s improved financial performance during the year, driven by higher sugar sales volume, better sugar sales realisation, improved sugar recovery and lower cost of production of maize-based ethanol. He also apprised the Members of the steps taken by the Company to enhance stakeholders’ value, including declaration of interim dividend, buy-back of equity shares and the proposed foray into the NBFC sector. He reiterated the Company’s commitment to enhancing stakeholders’ value and highlighted the Company’s continued focus on identifying new growth opportunities, including exploring value- added chemicals derived from bio streams. Thereafter, the Notice of AGM dated 28th May, 2026, the Report of the Board of Directors and the Financial Statements for the Financial Year 2025-26 were taken as read. There were no qualifications in the Auditors’ Report on the Standalone and Consolidated Financial Statements and the Secretarial Audit Report of the Company for the Financial Year ended 31st March, 2026. The Company Secretary thereafter invited the Members to give their views and raise their queries and stated that the Management of the Company would respond to the queries. Eleven (11) Members shared their views and raised queries on various aspects of the Company, which were duly noted and responded to by Mr. Gaurav Goel, Vice Chairman and Managing Director. Thereafter, the items as set out in the Notice convening the meeting were taken up. It was informed that the Members attending the AGM who had not cast their votes through remote e- voting were eligible to vote on the resolutions through the e-voting facility at the AGM. The Company Secretary informed the Members that Mr. Saket Sharma, Partner of M/s GSK & Associates, Company Secretaries, appointed as the Scrutinizer, would scrutinize the voting process and submit a consolidated Scrutinizer’s Report of the total votes cast to the Chairman or a person authorised by him in writing. It was further informed that the declared results along with the Scrutinizer’s Report would be made available on the website of the Company at www.dhampursugar.com and on the website of NSDL at www.evoting.nsdl.com within two working days of passing of the Resolutions at the Annual General Meeting and would also be forwarded to the Stock Exchanges where the Company’s shares are listed.
