SUMMARY OF THE PROCEEDINGS OF THE 60TH ANNUAL GENERAL
MEETING OF CHENNAI PETROLEUM CORPORATION LIMITED, HELD ON
26.08.2026.
Date, time and venue of the Annual General Meeting (AGM):
The 60th Annual General Meeting of the Chennai Petroleum Corporation Limited
was held on Wednesday, the 26th August, 2026 through Video Conferencing
(VC) / Other Audio-Visual Means (OAVM). The meeting commenced at 1200
HRS (IST) and concluded at 1347 HRS (IST).
Opening remarks of Chairman
Shri.A.S.Sahney, Chairman, Chaired the meeting, introduced the Board
Members and welcomed the Members of the Company, Auditors etc., to the
60th Annual General Meeting (AGM) of the company.
The requisite quorum being present, the Chairman called the Meeting to order.
The Chairman informed that the Meeting was held through VC/ OAVM in
compliance with the circulars issued by the Ministry of Corporate Affairs,
Government of India and Securities and Exchange Board of India.
With the consent of the members, the Notice of the 60th AGM was taken as read.
AGM Process
Company Secretary briefly informed about the process of AGM and read out the
Extracts from the Auditors Report, CAG Report, Observation of Secretarial
Auditor and Management Response thereto for the Financial Year 2025-26.

Chairman then delivered his speech.
Details of Resolutions:
The following items of businesses as set out in the Notice calling the Meeting
were put up for shareholder’s approval:
ORDINARY BUSINESSES
1) To receive, consider and adopt the Audited Financial Statement of the
Company (Standalone and Consolidated) for the period from 1st April 2025
to 31st March 2026, together with the Directors’ Report and the Auditor’s
Reports thereto – Ordinary Resolution
2) To declare Preference dividend of 6.65% (₹0.665/- per Preference share) on
the Outstanding Preference Shares up to the date of redemption i.e
September 23, 2025, amounting to ₹15.94 Crore for the year 2025-26 –
Ordinary Resolution.
3) To declare Final Equity dividend of ₹54/- per Equity Share for the year
2025-26 – Ordinary Resolution.
4) To appoint a Director in place of Mr. Inder Jeet (DIN: 10385230), who retires
by rotation and is eligible for re-appointment – Ordinary Resolution.
5) To appoint a Director in place of Mr. Rohit Kumar Agrawala (DIN: 10048961),
who retires by rotation and is eligible for re-appointment –
Ordinary Resolution.
SPECIAL BUSINESSES
6) Appointment of Mr. S.G. Venkatesh (Din: 08823140) as a Director
(Technical) – Ordinary Resolution.
7) Appointment of Mr. V.C. Asokan (Din: 11646048) as a Nominee Director –
Ordinary Resolution.
8) Ratification of Remuneration of Cost Auditor for the Year 2026-27 –
Ordinary Resolution.
Company Secretary informed that pursuant to the provisions of the Companies
Act 2013, and Regulation 44 of the Securities and Exchange Board of India
(Listing Obligations and Disclosure Requirements) Regulations, 2015 (the
‘Listing Regulations’), the Company had provided e-voting facility to its members
to cast votes electronically, on all the resolutions set out in the notice dated
04.08.2025. He further informed that, the remote e-voting was open from 9.00
AM on Saturday, the 22nd August, 2026 till 5.00 PM on Sunday, the 25th August,
2026.
Further, the facility for e-voting at the 60th AGM was made available to the
members who were present at the Virtual Meeting and had not casted their votes
by remote e-voting.
Company Secretary informed the members that M/s.Chitra Lalitha & Associates,
Practicing Company Secretaries were appointed as scrutinizers for the purpose
of scrutinizing the remote E-Voting and E-Voting at the AGM.
Replies to the queries of shareholders
After the Question session was over, clarifications were provided by Chairman
to the queries raised by the members at the meeting.
Chairman informed the members that the results of the remote e-voting and
e -voting during AGM shall be disseminated to the stock exchanges and also
uploaded on the website of the Company and M/s. KFin Technologies Ltd., the
agency providing e-voting facility, within the stipulated time.

Dear Esteemed Shareholders,
Welcome to the 60th Annual General Meeting of Chennai Petroleum Corporation Limited.
At the outset let me thank you all for supporting CPCL in its growth as one of India's trusted
refiners. Your Company’s Six Decades Long journey of building, refining and serving the
nation is a legacy of perseverance, resilience and continuous transformation. As we look back
with pride on what we have achieved, we do so with even greater confidence in the future
that lies ahead.
And most significant of all, I am delighted to inform that based on Your Company’s sustained
financial and operational excellence, Government of India on 19th June 2026 has upgraded
the status of CPCL from Miniratna Schedule-A to Navratna, one among only 28 such
CPSEs in India. It provides enhanced operational and financial autonomy to accelerate
growth and value creation for Shareholders.
CPCL is ready to leverage the opportunity as well as responsibility to support the strong long-
term energy growth story of India that is driven by economic expansion, industrialisation,
urbanisation and increasing mobility.
The geo-political events of recent years have time and again demonstrated how quickly
geopolitical developments can affect crude availability, refinery operations, product markets
and refining margins.
Therefore, CPCL continues to strengthen our core refining capabilities while becoming more
flexible in crude sourcing, more efficient in energy consumption, more diversified in our
product portfolio and better prepared for the changing energy landscape.
I am pleased to share that during the year, CPCL made meaningful progress across each of
these dimensions. The year 2025–26 was indeed a defining year in CPCL's journey. It was a
year of record operational performance, strong financial results, product diversification,
strategic transformation and significant institutional milestones. Every record, number and
milestone remains a reflection of the collective effort of dedicated Team CPCL.
During the year 2025-26, CPCL achieved its highest-ever crude throughput of 11.710
MMTPA, corresponding to 112% capacity utilisation with Distillate Yield reaching a record
79.1%. Your company achieved significant gains in energy performance, recording the best-
ever Fuel & Loss of 7.73%, best-ever MBN of 69.8 and lowest-ever Energy Intensity Index
of 84.0. I am particularly proud that CPCL became one of the first Indian PSU refinery to
achieve a Quartile-1 ranking in Solomon Energy Intensity Index benchmarking, placing
us among the most energy-efficient refineries globally.
The year also marked a significant enhancement in our operational flexibility, with addition of
