Pursuant to Regulation 30(6) read with Para A (20) of Part A of Schedule III of the SEBI (LODR) Regulations, 2015 (“Listing Regulations”) and the SEBI Master Circular on Disclosure Obligations dt. 11 November 2024, we hereby inform the Exchange that the Company has, on 25th August, 2026, received three separate intimations from BSE Limited (vide the SEBI Master Circular No. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated 11 July 2023, as last updated on 30 January 2026) imposing fines aggregating to Rs. 4,10,000/- (plus applicable GST) for non-compliance with Regulation 19(1)/19(2) of the Listing Regulations, pertaining to the quarters ended December 2025, March 2026 and June 2026, respectively. Pa g e | 1 Remedial action taken: Upon identification of the requirement, the Board initiated the process of identifying and evaluating suitable candidates for the reconstitution of the Nomination and Remuneration Committee and after evaluation the Nomination and Remuneration Committee was reconstituted with effect from 7th June 2026, comprising Mr. Sai Manik Sud as Chairman and Ms. Ruchika Mehta and Mr. Kaushal Uttam Shah as members. Accordingly, full compliance with Regulation 19 of the Listing Regulations was restored.
