Dear Sir / Madam,
This is in continuation of our earlier corporate filing dated August 25, 2026, wherein the Company submitted the
Outcome of the Board Meeting held on August 25, 2026. We hereby submit a corrigendum to the said outcome
to rectify an omission and a typographical error in the original submission, the details of which are provided
below:
1. Inclusion of Disclosure regarding Appointment of Statutory Auditors (Casual Vacancy): Inclusion of Item
No. 6 pertaining to the appointment of Statutory Auditors to fill a casual vacancy pursuant to Section 139(8)
of the Companies Act, 2013, subject to the approval of the members of the Company. The requisite
disclosures prescribed under SEBI Master Circular No. SEBI/HO/CFD/PoD2/CIR/P/2023/120 have been
appended as Annexure D.
2. There were an inadvertent typographical error in the names of the proposed allottees mentioned in the
aforesaid Board Meeting Outcome. Accordingly, the names of the proposed allottees at the following places
shall be read as under:

With reference to the captioned subject and in terms of the provisions of Regulation 30 of Securities and Exchange
Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("SEBI Listing
Regulations") as amended from time to time, we wish to inform your good office that the Board of Directors of
Tipco Engineering India Limited (Formerly Known as “Tipco Engineering India Private Limited”) (“the
Company”), at their meeting held today i.e., Tuesday, August 25, 2026, has inter alia, considered and approved
the following businesses:
I. Increase and alteration of the Authorized Share Capital of the Company from Rs. 25,00,00,000/- (Rupees
Twenty-Five Crore Only) divided into 2,50,00,000 (Two Crore and Fifty Lakh) Equity Shares of Rs. 10/-
(Rupees Ten Only) each to Rs. 30,00,00,000/- (Rupees Thirty Crore Only) divided into 3,00,00,000 (Three
Crore Only ) Equity Shares of Rs. 10/- (Rupees Ten Only) each, by creation of additional 50,00,000 (Fifty
Lakh) Equity Shares of Rs. 10/- (Rupees Ten Only) each and consequent alteration of the Capital Clause
(Clause V) of the Memorandum of Association of the Company, subject to the approval of the members of
the Company.
Details of amendments to Memorandum of Association as required under Regulation 30 read with SEBI
Master Circular No. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026, is annexed
herewith as ‘Annexure A’.
II. Issuance of up to 21,02,400 (Twenty One Lakh Two Thousand Four Hundred) Equity Shares having face
value of Rs. 10/- (Rupees Ten Only) each of the Company, for cash, to the persons/ entities belonging to the
“Public” category ("Proposed Allottees”) on a preferential basis, at an issue price of Rs. 180/- (Rupees
One Hundred Eighty Only) per Equity Share, determined in accordance with the provisions of Chapter V
of SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2018 (“SEBI ICDR Regulations"),
as amended and applicable provisions of the Companies Act, 2013 and rules made thereunder, aggregating
up to Rs. 37,84,32,000/- (Rupees Thirty-Seven Crore Eighty-four Lakh and Thirty Two Thousand
Only), subject to the approval of the members of the Company, to the proposed allottees, as mentioned

“Promoter and Promoter Group” and "Public" category ("Proposed Allottees"), for cash, on a
preferential basis, at an issue price of Rs. 180/- (Rupees One Hundred Eighty Only) per Warrant,
determined in accordance with the provisions of Chapter V of SEBI ICDR Regulations, 2018, as
amended and applicable provisions of the Companies Act, 2013 and rules made thereunder,
aggregating up to Rs. 79,48,80,000/- (Rupees Seventy-Nine Crore Forty-Eight Lakh Eighty-
Thousand Only), subject to the approval of the members of the Company, to the proposed
