Stock on July 11, 2023 and last Non-compliance with the updated on January 30, requirements pertaining to Exchange 2026 the composition of the of India Board, quorum of Board Limited meetings, constitution of audit committee, nomination and remuneration committee, stakeholder relationship committee, risk management committee*. Days of non-compliance – Fine of Rs. 14,66,740 levied by each stock exchange *Due to completion of tenure of Independent Directors in March 2026, presently the Company does not have any Independent Director on the Board. Consequently, the Company is not able to constitute the Board, Audit Committee, Nomination & Remuneration Committee, Stakeholders Relationship Committee and Risk Management Committee in terms of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. BPCL being a Government Company, all the Directors are appointed as per the nomination from Govt. of India. The Company is continuously following up with the Government of India for fresh appointments of requisite number of Independent Directors and once the nomination is received from the Government of India, the Company shall promptly reconstitute the Board and the aforesaid committees in compliance with the applicable provisions of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. As the Directors are appointed after receipt of nomination from Government of India, BPCL has no control over the appointment of Directors. Hence, BPCL will be approaching BSE Limited and National Stock Exchange of India Limited for waiver of the above-mentioned fines levied.
