Regulation Particulars Fine Amount No. (Including 18% GST) levied by each Stock Exchange (in Rs.) 1. Regulation Non-compliance with the requirements 5,36,900 17(1) pertaining to the composition of the Board including failure to appoint woman director 2. Regulation Non-compliance with the requirements 11,800 17(2A) pertaining to quorum of Board meetings. 3. Regulation Non-compliance with the constitution of 2,14,760 18(1) audit committee 4. Regulation Non-compliance with the constitution of 2,14,760 19(1)/ 19(2) nomination and remuneration committee 5. Regulation Non-compliance with the constitution of 1,79,360 20(2)/(2A) stakeholder relationship committee 6. Regulation Non-compliance with the constitution of 1,79,360 21(2) risk management committee TOTAL 13,36,940 The action does not have significant impact on financial, operation or other activities of the Company, quantifiable in monetary terms to the extent possible. Following the appointment of Prof. (Dr.) K. Jayaprasad (DIN: 09585722) as a Non-Official Independent Director on the Board of the Company with effect from 15.04.2025, the Company constituted all the requisite statutory Board-level Committees, namely the Audit Committee, Nomination and Remuneration Committee (NRC), Stakeholders Relationship Committee (SRC) and Risk Management Committee (RMC), with effect from the same date. During the quarter ended 30.06.2026, the composition of the Audit Committee and NRC was not fully compliant with the applicable statutory requirements due to the absence of the requisite number of Independent Directors. Further, upon completion of the one-year tenure of the existing Independent Director, who ceased to hold office with effect from 15.04.2026, the composition of the SRC and RMC also became non-compliant due to the absence of an Independent Director on the Board. Further, with respect to Regulation 17(2A) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the requisite quorum for the Board Meeting held on 05.05.2026 during the quarter could not be met due to the absence of the requisite number of Independent Directors on the Board. It may be noted that Shipping Corporation of India Land and Assets Limited (‘SCILAL’), being a Public Sector Undertaking (PSU) is coordinating with Competent Authority for appointment of requisite number of Independent Directors on its Board in accordance with aforementioned Regulations of SEBI (LODR) Regulations, 2015. The Company is in the process of submitting request letters for waiver of the said fine to both of these Stock Exchanges in this regard.
