Your Directors have pleasure in presenting the 54th Annual Report, together with the
Audited Statements of Account of the Company for the financial year ended on 31st
March, 2026 in terms of the Companies Act, 2013 and rules & regulations made there
under & Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements)
Regulations, 2015 as amended from time to time. The Financial Statements have been
prepared according to the relevant provisions of Companies (Indian Accounting
Standards) Rules, 2015.

“OPERATING SCENARIO
Your company is not able to achieve Revenue due to continuation of CIRP process during
the year which has hampered the operations adversely. During the financial year under
review, your company has recorded a Negative EBITDA of Rs. 250.02 Lakhs in
comparison to negative EBITDA of Rs. 61.94 Lakhs in previous year and a Positive PAT of

Rs. 2678.11 Lakhs in comparison to the previous year Negative PAT of Rs. 6399.04
Lakhs due to write off of certain assets and liabilities in terms of implementation of
Resolution Plan as approved by Hon’ble NCLT, Allahabad.”
FUTURE OUTLOOK – TECHNICAL FRONT
Your company tried to reduce the cost of operations during the year but could not
maintain the Revenue due to zero operating assets during last year. However, company is
trying to continue its business on the other model i.e. trading etc., even when the
company was under CIRP of IBC.
PROCEEDING UNDER THE INSOLVENCY AND BANKRUPTCY CODE, 2016 and
FINANCIAL RESTRUCTURING OF THE COMPANY
The CIRP proceedings of the company on the recommendation of its Secured
Lenders were initiated by Hon’ble National Company Law Tribunal, Allahabad
Bench (NCLT) vide its order dated 13.9.2024 by appointing the Interim Resolution
Professional and declaring the Moratorium for the company. The Resolution Plan
for company as submitted by Successful Resolution Applicants, filed by Resolution
Professional on the recommendation of Committee of Creditors (CoC) with 100%
majority and approved by Hon’ble NCLT, vide its order dated 4.11.2025 has been
implemented during the financial year 2025-26 and the new management has took
over the charge under the provisions of Insolvency and Bankruptcy Code (IBC),
2016. The necessary financial impact towards assets and liabilities in terms of
approved resolution plan have been provided for in these books of accounts and
