The non-compliance pertains to the composition of the Board of Directors and its Committees. Period of Non-Compliance Quarter ended on June 30, 2026 Amount of Fine (including GST @18%) ₹10,23,060/- each from BSE & NSE In line with the above, it is hereby submitted that IRCTC is a Government Company and the power to appoint Directors including Independent Directors on its Board vests with the President of India, represented through Ministry of Railways, Government of India. The Company is following up with Ministry of Railways Government of India from time to time for appointing requisite number of Independent Directors, including Women Independent Director on its Board. The aforesaid fine imposed on the Company has no impact on the financial, operation or other activities of the Company. In this regard, it may be noted that in the past also, similar letters have been received and waiver request was considered favorably by the Exchanges subsequent to the compliances made by the Company.
