Systems Limited (“ISL”), a subsidiary of Veefin Solutions Limited (“Company or "VSL”) and Nityo Tech
Private Limited (“NTPL”), a subsidiary of ISL and step-down subsidiary of VSL.
Ref: Disclosure pursuant to Regulation 30 of the Securities and Exchange Board of India (Listing
Obligations and Disclosure Requirements) Regulations, 2015.
With reference to the captioned subject, we hereby inform you that ISL has entered into a Business
Transfer agreement (“BTA”) on August 25, 2026 with NTPL for sale/transfer of the Business undertaking
of the ISL as a going concern for a lump sum consideration of INR 30 crore (Indian Rupees Thirty Crore
only).
The disclosure as required under Schedule III of the SEBI Listing Regulations read with SEBI Circular No.
HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026, is enclosed as “Annexure – A”.
