The combined results of the remote e-voting and e-voting conducted during the AGM, along with the Consolidated Scrutinizer’s Report, will be submitted to the Stock Exchanges within the stipulated timelines. SUMMARY OF PROCEEDINGS OF THE 45TH ANNUAL GENERAL MEETING OF NGL FINE-CHEM LIMITED The 45th Annual General Meeting (“AGM” or “Meeting”) of the Members of NGL Fine- Chem Limited (“the Company”) was held on Tuesday, August 25, 2026 at 11:00 A.M. (IST) through Video Conferencing (“VC”) / Other Audio Visual Means (“OAVM”), in accordance with the applicable circulars issued by the Ministry of Corporate Affairs (“MCA”) and the Securities and Exchange Board of India (“SEBI”). Mr. Shivam Gharat, Company Secretary, welcomed the Members to the 45th AGM and briefed the Members on the technical aspects relating to joining and participating in the Meeting through VC/OAVM. The Members were informed that, since the AGM was being conducted through VC/OAVM and there was no physical attendance of Members, the requirement of appointment of proxies was not applicable. The Members were also informed that the statutory registers and other documents required to be made available for inspection under the Companies Act, 2013 were available for inspection in accordance with the applicable provisions. Pursuant to the provisions of the Articles of Association of the Company, Mr. Dhananjay Mungale, Chairman of the Board and Independent Director, presided over the Meeting. The Company Secretary introduced the Directors of the Company who had joined the Meeting through VC/OAVM, namely:  Mr. Dhananjay Mungale – Chairman of the Board & Independent Director;  Mr. Rahul Nachane – Managing Director;  Mr. Rajesh Lawande – Whole-Time Director & Chief Financial Officer;  Mrs. Ajita Nachane – Non-Executive Director;  Mrs. Sarala Menon – Independent Director; and  Mr. Sudhir Deo – Independent Director. The Representatives of M/s. Manek & Associates, Statutory Auditors, and M/s. HSPN & Associates LLP, Secretarial Auditors, were also present at the Meeting through VC. Accordingly, the Meeting was called to order. The Members were informed that, in compliance with Section 108 of the Companies Act, 2013 and the rules made thereunder, the Company had provided the facility of remote e-voting to the Members. The remote e-voting facility commenced on Saturday, August 22, 2026 at 9:00 A.M. and concluded on Monday, August 24, 2026 at 5:00 P.M. The Members were informed that Mr. Hemant Shetye, Practising Company Secretary, had been appointed as the Scrutinizer to scrutinize the remote e-voting process as well as the e-voting conducted during the AGM. The Company Secretary also briefed the Members regarding the procedure for participation in the Question and Answer session and the technical guidelines for registered speakers. Thereafter, the Company Secretary requested Mr. Dhananjay Mungale, Chairman, to address the Members. The Chairman welcomed the Members and apprised them of the Company’s performance for FY 2025- 26, progress of the greenfield expansion at Tarapur, performance during Q1 FY 2026-27, and the Company’s outlook and long-term growth strategy. The Chairman also acknowledged the contribution and support of the employees, customers, business partners and shareholders of the Company. Thereafter, the Chairman requested the Company Secretary to conduct the further proceedings of the Meeting. The Company Secretary informed the Members that the Notice convening the 45th AGM dated May 21, 2026, together with the Annual Report of the Company for the financial year ended March 31, 2026, had already been circulated to all the Members. With the consent of the Members, the Notice convening the 45th AGM was taken as read. The Members were further informed that the Statutory Auditors’ Report and Secretarial Audit Report formed part of the Annual Report already circulated to the Members. Since the said reports did not contain any qualification, reservation, adverse remark or disclaimer, the same were not required to be read out and were taken as read. The Company Secretary thereafter commenced the Question and Answer session. The Members were informed that, as specified in the Notice convening the AGM, registration for participation as a speaker was available up to Monday, August 17, 2026 at 5:00 P.M. (IST). The Members who had registered their names with the Company within the prescribed period were given an opportunity to speak at the Meeting. Mr. Rahul Nachane, Managing Director of the Company appropriately responded to the queries/suggestions raised by them. BUSINESS TRANSACTED AT THE MEETING The following businesses as set out in the Notice dated May 21, 2026 convening the 45th AGM of the Company were transacted at the Meeting through remote e-voting before/during the AGM: Item Resolution No. Details of the Agenda Required Mode of Voting 1. To receive, consider and adopt the Ordinary Remote e-Voting before / audited financial statements (including during the AGM audited consolidated financial statements) for the financial year ended March 31, 2026 and the Reports of the Directors and the Auditors thereon. 2. To declare Final Dividend on Equity Ordinary Remote e-Voting before / Shares for the financial year ended during the AGM March 31, 2026. 3. To appoint Mr. Rajesh Lawande, Ordinary Remote e-Voting before / Director (DIN: 00327301), who retires during the AGM by rotation & being eligible offers himself for re-appointment as Director. 4. To re-appoint Mr. Rajesh Lawande Special Remote e-Voting before / (DIN 00327301), as a Whole-Time during the AGM Director of the Company. 5. To re-appoint Mrs. Sarala Menon Special Remote e-Voting before / (DIN: 09433901) as an Independent during the AGM Director of the Company. 6. To ratify remuneration payable to the Ordinary Remote e-Voting before / Cost Auditor. during the AGM The Company Secretary informed the Members that the consolidated voting results of the remote e- voting conducted prior to the AGM and the e-voting conducted during the AGM, together with the Scrutinizer’s Report, would be declared within the prescribed time and submitted to the Stock Exchanges in accordance with the applicable provisions of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
